20 2009601 <br />4. Notice. Notices provided under this Section shall be US Certified Mail, Return <br />Receipt and shall be sent to the Registered Agent and Registered Address of Grantee as set forth <br />in the records of the Nebraska Secretary of State and the address for notices of real estate taxes <br />of the Property for Grantor. <br />5. Amendment. This Agreement may only be amended if in writing and by <br />unanimous agreement of the Grantor and the Grantee or each of their successors and assigns. <br />Any amendments to this Agreement must be signed by all parties and recorded with the Register <br />of Deeds of Hall County, Nebraska to be valid and enforceable. <br />6. Assignment. This Agreement is not assignable or otherwise transferrable by <br />Grantor except when the fee simple interest of the Property is conveyed by Grantor. The <br />Grantee may assign its rights and obligations under this Agreement in writing and upon <br />recording such assignment the Register of Deeds of Hall County, Nebraska. Upon such <br />assignment and recording, the then existing Grantee shall be relieved of any and all obligations <br />under this Agreement. <br />7. Rule Against Perpetuities. In the event the provisions of this Agreement are <br />declared void by a court of competent jurisdiction by reason of the period of time herein stated <br />for which the same shall be effective being contrary to applicable law or prohibited by the "rule <br />against perpetuities" or any similar law, then in that event only the term hereof shall be reduced <br />to the maximum period of time which does not violate such law or the rule against perpetuities as <br />set forth in the laws of the State of Nebraska. <br />[Remainder of Page Left Intentionally Blank; Execution Pages Follow.] <br />2471714.2 <br />
