Gill, husband and wife, GRANTORS, in consideration <br />of One Dollar ($1.00) and other good and valuable consideration, receipt of which is hereby <br />acknowledged, grant and convey to Gill Farms, Inc., a Nebraska Corporation, GRANTEE, a Right <br />of First Refusal on the following described real estate (as defined in Neb. Rev. Stat. Sec. 76-201) <br />in Hall County, Nebraska: <br />A tract of land in the West Half of the Northwest Quarter (W1/2NW1/4) of <br />Section Four (4), Township Ten (10) North, Range Twelve (12) West of the 6th P.M., <br />Hall County, Nebraska, and more particularly described as follows: Commencing at the <br />Southwest Corner of the Northwest Corner of Section Four (4), then east and along the <br />south boundary of said section a distance of Four Hundred Thirty Five (435) feet, thence <br />north and parallel to the west boundary of said section a distance of Four Hundred Eighty <br />Five (485) feet, thence west and parallel to the south boundary of said section a distance <br />of Four Hundred Thirty Five (435) feet, thence south along the west boundary of said <br />section a distance of Four Hundred Eighty Five (485) feet to the point of beginning, said <br />tract containing 4.8 acres more or less. <br />In consideration of One Dollar ($1.00) and other good and valuable consideration, the <br />receipt of which is hereby acknowledged, Grantors hereby grant said right of first refusal under <br />the following terms and conditions: <br />1. Before Grantors can sell, transfer or convey such real estate, Grantors must first <br />offer said property to Grantee in writing. Grantee shall have thirty (30) days to exercise said right <br />of first refusal. The Right of First Refusal may be exercised by the Grantee delivering to Grantors, <br />by hand or certified United States mail, return receipt requested, a Notice of Exercise of Right of <br />First Refusal. At that time, Grantors and Grantee shall enter into a standard real estate contract <br />for the purchase of said real estate. <br />2. The purchase price for said real estate shall be established by using the amount of <br />any written offer (including written verification of authorized loan approval by the lender of any <br />prospective Buyer) made by a third party to Grantors for the purchase of said real estate. <br />3. Said purchase price shall be paid in cash or certified funds at the time a deed to the <br />property is delivered to Grantee. <br />4. This Right of First Refusal shall not be assigned without the written consent of the <br />Grantors. <br />5. This is the full and complete agreement between Grantors and Grantee, and all other <br />agreements, written or oral, are incorporated herein. <br />6.
