<br />GAS UTILITY EASEMENT
<br />KNOW ALL MEN BY THESE PRESENTS:
<br />That Mettenbrink Family Investments, L.L.C., a Nebraska Limited Liability Company, the "Grantor", of
<br />the county of Hall, the state of Nebraska, for and in consideration of the sum of One Dollar ($1.00) and other good
<br />and valuable consideration, the receipt of which is hereby acknowledged, does hereby grant, remise, convey and
<br />relinquish unto Northwestern Corporation, a Delaware Corporation, d/b/a Northwestern Energy, the "Grantee",
<br />of Huron, South Dakota, its successors or assigns, a gas utility easement for the installation, maintenance and
<br />operation of an underground natural gas pipeline along with all appurtenances thereto over, under, upon and through
<br />the following described lands situated in the county of Hall, the state of Nebraska, to wit:
<br />A 10 -foot -wide strip of land located in part of the Southeast Quarter (SE1/4) of Section Three
<br />(3), Township Eleven North (T11 N), Range Ten West (R10W) of the 6th Principal Meridian, Hall
<br />County, Nebraska, as illustrated in attached Exhibit "A", and more particularly described as
<br />follows:
<br />Commencing at the East Quarter (E114) Corner of said section; thence S01°04'05"E along the
<br />East Line of the Southeast Quarter (SE1/4), a distance of 25.00 feet; thence S89°28'38"W, a
<br />distance of 50.00 feet to the Point of Beginning; thence S01°04'05"E, a distance of 2,520.07
<br />feet; thence S89°49'01"W, a distance of 10.00 feet; thence N01°04'05"W, a distance of 2,520.01
<br />feet; thence N89°28'38"E, a distance of 10.00 feet to the Point of Beginning. Said strip of land
<br />containing 0.579 acres, more or less.
<br />[The purpose of the above described easement is for an underground natural gas pipeline
<br />along with all appurtenances thereto (the "Facilities").]
<br />TO HAVE AND TO HOLD unto said Grantee, its successors and assigns, so long as such Facilities shall be
<br />maintained and operated, together with the right of ingress and egress from said premises for the purpose of
<br />surveying, constructing, installing, inspecting, repairing, maintaining, renewing and replacing the property of the
<br />Grantee located thereon, or removed thereof, in whole or in part, at the will of the Grantee.
