a • 4 . a , Or 202006825 AGREEMENT FOR EXCHANGE OF REAL ESTATE This is an agreement between Ann M. Martin (Ann) and Douglas D. Axford (Doug). The parties agree as follows: 1. Doug will transfer to Ann all his interest in Lot One (1), Pomona Farms Subdivision, Hall County, Nebraska. This will be done upon signing this agreement. 2. Ann will transfer to Doug all her interest in the land outlined on the attached Exhibit. This transfer will take place on or before February 1, 2004. A legal description will be furnished by Ann. Doug agrees that the property being transferred by Ann in this transaction will never be subdivided or platted. 3. Doug will pay Ann Thirty Two Thousand Five Hundred Dollars ($32,500.00) on or before February 1, 2004, and Thirty Two Thousand Five Hundred Dollars ($32,500.00) on or before February 1, 2005. Ann will receive a mortgage on the property she transfers for security on this second payment. 4. Each party will pay the 2003 and all prior years real estate taxes on the property they transfer. 5. Ann shall give Doug the right to walk around the lake on her property in order to get to Doug's duck blind on the Wood River. 6. Neither party will physically change the structure of the berm on the south side of the lake without the consent of the other party. 7. Ann hereby gives Doug the first right of refusal if any of the remaining real estate owned by Ann shall be offered for sale to anyone other than Ann's children or grandchildren. This right of first refusal is binding on Ann's estate. 8. Ann will transfer Lot One (1), Pomona Farms Subdivision to Ben and Alison Martin. Ben and Alison hereby give Doug the first right of refusal if Lot One (1), Pomona Farms Subdivision is offered for sale to anyone other than Ann's children or grandchildren.
