202004324 <br />Easement <br />The undersigned Grantor for ONE DOLLAR ($1.00) and in consideration of any other good and valuable <br />considerations, the receipt whereof is hereby acknowledged, do hereby grant and convey to <br />NebraskaLink Holdings LLC, a Nebraska limited liability company (Grantee) whose address is 3900 NW <br />12th St., Lincoln NE 68521, its successors, assigns, lessees, licensees and agents a perpetual easement to <br />construct, maintain, repair and operate certain fiber optic cables, conduit, utility vaults and entrance <br />facilities as Grantee may require upon, over, under and across the following described land which the <br />Grantor owns or in which the Grantor has any interest, to -wit: <br />See attached Exibit 1 <br />In addition to the recited consideration, the Grantee agrees to restore the Grantor's property to the <br />same condition or the condition existing immediately prior to initial construction or the operation or <br />maintenance or to pay the Grantor the accrual damages to Grantor's real property, arising out of initial <br />construction; and to pay thereafter actual damages to the property occasioned by the operation or <br />maintenance. Grantee is responsible for locating and routing around all existing underground utilities <br />and ensuring there is no interference with the operation of surrounding areas <br />Grantee agrees for and on behalf of itself and all persons who may use said real estate pursuant to the <br />easement herein granted to Grantee that the Grantor, its successors and assigns shall not be liable for <br />injury to or death of any person whomsoever who shall enter upon or use said property, or for loss of or <br />damage to property in the possession, custody or control of any such person while on said real estate. <br />Grantee further agrees to protect, indemnify and save harmless the Grantor, its successors and assigns, <br />from and against any and all liability, loss, cost, damage, expense and claims of every kind or character <br />due to injury to or death of any person whomsoever or loss of or damage to any property whatsoever, <br />arising directly or indirectly out of or incident to the existence, use, maintenance or condition of said <br />easement. <br />Grantees shall have the right of ingress end.egress over and across the land of the Grantor to and from <br />the above described property and the right to clear and keep cleared all trees and other obstructions. <br />Grantee shall be responsible for all damage caused to Grantor arising from Grantee's exercise of the <br />rights and privileges herein granted. <br />The Grantor reserves the right to occupy, use and cultivate said Easement for all purposes not <br />inconsistent with, nor interfering with the rights herein granted. <br />The rights, conditions and provisions of this easement shall inure to the benefit of and be binding upon <br />the successors and assigns of the respective parties hereto. <br />
