Schimmer and Susan E. Schimmer, husband and <br />wife, ("Landlord") and Hooker Bros. Sand & Gravel, Inc., a Nebraska corporation ("Tenant"). <br />RECITALS <br />WHEREAS, Landlord is the owner of the real property located in Hall County, Nebraska, <br />and legally described on Exhibit "A" attached hereto and incorporated herein by this reference <br />(the "Property"); and <br />WHEREAS, Landlord and Tenant entered into a Sand and Gravel Mining Lease dated <br />, 20-2Z(the "Lease"), with respect to the Property. <br />NOW THEREFORE, Landlord and Tenant hereby execute this Memorandum of Lease <br />Agreement for the purpose of acknowledging the parties' respective interests in, and rights and <br />obligations under, the Lease and recording the same in the office of the Register of Deeds of Hall <br />County, Nebraska. <br />1. This Memorandum of Lease Agreement is subject in each and every respect to the terms, <br />covenants and conditions of the Lease between the parties hereto. This Memorandum of Lease <br />Agreement is executed and delivered with the understanding and agreement that the same shall <br />not in any manner or form whatsoever, alter, modify or vary the terms, covenants and conditions <br />of the Lease. <br />2. The term of the Lease shall continue until March 31, 2040, unless otherwise extended or <br />terminated as provided in the Lease. <br />
