Noble Family Limited Partnership, a Nebraska Limited Partnership, has adopted a Plan of Conversion and Articles of Conversion for the purpose of converting said entity from a Limited Partnership to Noble Family, LLC, a Nebraska Limited Liability Company. 2. Said conversion was finalized by the filing of the Articles of Conversion and a Certificate of Organization with the Nebraska Secretary of State on January 31, 2020. 3. Pursuant to Neb. Rev. Stat. § 67-299, all property owned by the converting entity has become, and now remains, vested in the converted entity, that being Noble Family, LLC, a Nebraska Limited Liability Company, which property includes that certain real property described on Exhibit "A" attached hereto, and incorporated herein by reference. 4. All debts, liabilities, and other obligations of the converting entity continue as obligations of Noble Family, LLC, and any action or proceeding pending by or against the converting entity may be continued as if the conversion had not occurred. 5. The general and limited partnership interests of the converting entity have been reclassified to Membership Units of Noble Family, LLC in accordance with the above referenced Plan of Conversion. 6. Except as prohibited by other law, all of the rights, privileges, immunities, powers, and purposes of the converting entity remain vested in Noble Family, LLC and, except as otherwise provided in the Plan of Conversion, the terms and conditions of the Plan of Conversion take effect. 7. The Federal and State identification numbers assigned to Noble Family Limited Partnership will remain the same for Noble Family, LLC. 8. The undersigned is the Registered Agent for Noble Family, LLC, and the designated office for Noble Family, LLC is 1030 Highland Drive, Hastings, NE 68901.
