Box 505 <br />Cairo, NE 68824 <br />RIGHT OF FIRST REFUSAL <br />Marcus Nation and Bobbie Nation, husband and wife, GRANTORS, in <br />consideration of One Dollar ($1.00) and other good and valuable consideration, receipt <br />of which is hereby acknowledged, grants and conveys to Shaunee R. Harders and Nancy <br />A. Harders, husband and wife, GRANTEES, a Right of First Refusal on the following <br />described real estate (as defined in Neb. Rev. Stat. Sec. 76-201) in Hall County, <br />Nebraska: <br />A Tract of land located in the Northeast Quarter (NE1/4) of Section 12, Township 12 North, Range <br />12 West of the 6th P.M., Hall County, Nebraska, more particularly described as follows: <br />Commencing at the Northeast Corner of said Section 12; thence on an assigned bearing of South <br />00°01'15" West on the easterly line of said Northeast Quarter (NE1/4) a distance of 777.01 feet; <br />thence North 89°58'45" West perpendicular to said easterly section line a distance of 60.00 feet <br />to the westerly right-of-way line of Highway 11 and also being the Point of Beginning; thence <br />South 00°01'15" West on said westerly right-of-way line a distance of 662.48 feet; thence North <br />82°20'58" West a distance of 1085.92 feet; thence North 44°01'39" East a distance of 667.05 feet; <br />thence North 86°25'30" East a distance of 614.08 feet to the point of beginning. <br />Grantors hereby grant said right of first refusal under the following terms and <br />conditions: <br />1. Before Grantors can sell, transfer or convey such real estate, Grantors must <br />first offer said property to Grantee, in writing at the same price offered by an outside <br />purchaser in writing. Grantees shall have thirty (30) days to exercise said right of first <br />refusal. The Right of First Refusal may be exercised by the Grantees delivering to <br />Grantors, by hand or certified United States mail, return receipt requested, a Notice of <br />Exercise of Right of First Refusal. At that time, Grantors and Grantees shall enter into a <br />standard real estate contract for the purchase of said real estate. <br />2. The purchase price for said real estate shall be established by using the <br />amount of any written offer (including written verification of authorized loan approval by <br />the lender of any prospective Buyer) made by a third party to Grantor for the purchase of <br />said real estate. <br />3. Said purchase price shall be paid in cash or certified funds at the time a <br />deed to the property is delivered to Grantee. <br />4. This Right of First Refusal shall not be assigned without the written consent <br />of the Grantors and shall terminate upon the death of both Grantees if not exercised <br />during their lifetimes. <br />5. This is the full and complete agreement between Grantor and Grantee, and all <br />other agreements, written or oral, are incorporated herein. <br />6. This agreement shall be binding upon the successors, personal <br />representative, and assigns of the Grantor. <br />
