Box 505 Cairo, NE 68824 RIGHT OF FIRST REFUSAL Marcus Nation and Bobbie Nation, husband and wife, GRANTORS, in consideration of One Dollar ($1.00) and other good and valuable consideration, receipt of which is hereby acknowledged, grants and conveys to Shaunee R. Harders and Nancy A. Harders, husband and wife, GRANTEES, a Right of First Refusal on the following described real estate (as defined in Neb. Rev. Stat. Sec. 76-201) in Hall County, Nebraska: A Tract of land located in the Northeast Quarter (NE1/4) of Section 12, Township 12 North, Range 12 West of the 6th P.M., Hall County, Nebraska, more particularly described as follows: Commencing at the Northeast Corner of said Section 12; thence on an assigned bearing of South 00°01'15" West on the easterly line of said Northeast Quarter (NE1/4) a distance of 777.01 feet; thence North 89°58'45" West perpendicular to said easterly section line a distance of 60.00 feet to the westerly right-of-way line of Highway 11 and also being the Point of Beginning; thence South 00°01'15" West on said westerly right-of-way line a distance of 662.48 feet; thence North 82°20'58" West a distance of 1085.92 feet; thence North 44°01'39" East a distance of 667.05 feet; thence North 86°25'30" East a distance of 614.08 feet to the point of beginning. Grantors hereby grant said right of first refusal under the following terms and conditions: 1. Before Grantors can sell, transfer or convey such real estate, Grantors must first offer said property to Grantee, in writing at the same price offered by an outside purchaser in writing. Grantees shall have thirty (30) days to exercise said right of first refusal. The Right of First Refusal may be exercised by the Grantees delivering to Grantors, by hand or certified United States mail, return receipt requested, a Notice of Exercise of Right of First Refusal. At that time, Grantors and Grantees shall enter into a standard real estate contract for the purchase of said real estate. 2. The purchase price for said real estate shall be established by using the amount of any written offer (including written verification of authorized loan approval by the lender of any prospective Buyer) made by a third party to Grantor for the purchase of said real estate. 3. Said purchase price shall be paid in cash or certified funds at the time a deed to the property is delivered to Grantee. 4. This Right of First Refusal shall not be assigned without the written consent of the Grantors and shall terminate upon the death of both Grantees if not exercised during their lifetimes. 5. This is the full and complete agreement between Grantor and Grantee, and all other agreements, written or oral, are incorporated herein. 6. This agreement shall be binding upon the successors, personal representative, and assigns of the Grantor.
