<br />erected or placed upon the SUBJECT PROPERTY described on the foregoing Exhibit "A," together with
<br />all trees, shrubs, flowers, drains and drainage rights appurtenant to, located on, under, or above or wad in
<br />connection with the SUBJECT PROPERTY and die improvements situated thereon, or any part thereof;

<br />furnishings, and nit of said articles of'propeny now or at any time hereafter affixed to attached to, placed
<br />upon or used in any way in correction with the use, arjoyruent. occupancy or operation of the SUBJECT

<br />PROPERTY and intended to be installed or plated in or about the improvements, items held for sale or
<br />lase, items leased to others, and all items used or consumed in DEBTOR'S busing
<br />C. Accounts, accounts receivable, contract rights, chattel paper, including tangible chattel
<br />papa and electronic chattel papa; promissory notes, drafts, instnmets, investment property. money,
<br />letter of aerie rights, commercial tort claims. documents and supporting obligations (including but not
<br />limited to al) of the rents, royalties, issues, profits. revenue. income, proceeds and other benefits of the
<br />Premises) arising from the use or enjoyment of all or any portion of the Premises or from any lease
<br />agreement pahmmg thereto, and all right. title and interest of the DEBTOR in and to all leases of the
<br />SUBJECT PROPERLY now or hereafter entered into and all right, tide and interest of DEBTOR
<br />thauade, an guarantees of tensats' or occupants' perfmrnances thereunder, car or soarides deposited
<br />thereunder to make performance by the lessees of their obligations thereunder, wheeler said cash or
<br />securities are to be held until the exon of the tams of said leases or applied to one or more of the
<br />installments dent coming due immediately prior to the expiration of said terns; is addition all amounts
<br />paid or to be paid by the federal or state goverameat or airy governmental agency to or on behalf of

<br />PARTY;
<br />E. All rights, title and interest of DEBTOR in my and all building permits. and any other
<br />permits, licenses or atrgrafaliou required by the governmental authorities having or exercising
<br />jurisdiction ova the SUBJECT PROPERTY, all rights to performance or payment of any other nature
<br />which DEBTOR has or may have it the future under any nomad or agreement regarding the SUBJECT
<br />PROPERTY, all rights to the names aider or by which the SUBJECT PROPERTY may at any time be
<br />operated or known; sad all rights to carry on business under any such names, logos and goodwill in tory
<br />way relating to the SUBJECT PROPERTY. and all general intangibles, payment Intangibles and software
<br />now or hereafter essociamed with or arising from the SUBJECT PROPERTY;
<br />F. Al documents of membership and any owners or members association or similar group
<br />having responsibility for managing or opining any put of the SUBJECT PROPERRJY; all claims and
<br />causes of action relating to, arising, or derived from the SUBJECT PROPERTY;
<br />G. All proceeds (including claims and demmads therefore) of the conversion. voluntary or
<br />involuntary. of any of the foregoing into cash a liquidated claims, including, without limitation, proceeds
<br />of insurance (Insurance Proceeds) and condemnation awards on the SUBJECT PROPERTY
<br />(Condemnation Proceeds) (all of such proceeds hereinafter called "Proceeds').
<br />Whether now owned or hereafter acquired or arising, and all additions and accessions to. all spore and
<br />lepair tarts, special tools. equipment and replacements thereof, and all proceeds and products of the
<br />foregoing wherever located.
