HINTON and/or HIS ASSIGNEE ("Assignee") who acknowledge and agree as follows: 1. Assignment. That certain Lease entered into by Assignor as Landlord and RCG Grand Island, LLC, a Delaware limited liability company as Tenant dated June 11, 2004, commencing June 1, 2004, (ii) the First Amendment to Lease Agreement dated January 31, 2014 entered into by Assignor and RCG Grand Island, LLC d/b/a Kidney Dialysis Center of Grand Island a/k/a Fresenius Medical Care Grand Island, and (iii) the Second Amendment to Lease Agreement dated May 28, 2019 entered into by Assignor and RCG Grand Island, LLC d/b/a Kidney Dialysis Center of Grand Island a/ka/ Fresenius Kidney Care Grand Island (collectively, the "Lease") for that certain real property ("Premises"), which legal description is attached hereto and incorporated herein as Exhibit "A," commonly known as: 3516 Richmond Cir. Grand Island, NE 68803 Assignor has assigned the Lease to Assignee as more specifically set forth in that certain Assignment of Lease, Acceptance of Assignment and Assumption of Lease ("Assignment") effective on the date upon which escrow is deemed closed pursuant to that certain Purchase and Sale Agreement and Escrow Instructions dated September 5, 2019 by and between Assignor, as seller, and Assignee, as buyer. The Lease expires on May 31, 2024 and has two (2) - five (5) year option(s) to extend the term of the Lease. This Memorandum may be executed in any number of counterparts, each of which shall be deemed an original. The counterparts shall together constitute but one Memorandum.
