201906 85 <br />the laws of the State of Texas, and has all requisite corporate power and authority to execute and deliver <br />the Note and the Loan Documents as the general partner of Grantor. <br />ARTICLE VI <br />GRANTOR'S COVENANTS AND AGREEMENTS <br />Grantor covenants and agrees with Lender as follows: <br />6.1 PAYMENT AND PERFORMANCE. Grantor shall make all payments on the <br />Indebtedness owed by Grantor when due and shall punctually and properly perform all of Grantor's <br />covenants, obligations and agreements under this Instrument and the Loan Documents. <br />6.2 COMPLIANCE WITH GOVERNMENTAL REQUIREMENTS; USE. Grantor shall <br />comply with all applicable governmental requirements with respect to the use, operation, maintenance <br />and repair of the Property and will procure, maintain and comply with all certificates of occupancy, <br />permits, licenses, agreements and other authorizations required for the proper use, operation, maintenance <br />and repair of the Property. Grantor covenants and agrees that the use and operation of the Property shall at <br />all times conform to all governmental requirements. Grantor shall promptly give written notice to Lender <br />of any violation of any governmental requirement. Grantor shall not use the Property, and no act shall be <br />done to or upon the Property, which will cause the cancellation of, or make void or voidable, any <br />insurance policy covering the Property. Grantor shall not sell or otherwise provide to any person, or <br />permit to be kept, used or sold in or about the Property any material or article which may be prohibited by <br />law or by any insurance policy required to be carried by Grantor under the Loan Documents, or fire <br />underwriter's regulations. Grantor shall not use or occupy the Property, or allow the Property to be used <br />or occupied, in any manner which would or might (a) violate any certificate of occupancy, (b) make it <br />difficult or impossible to obtain fire or other insurance which Grantor is required to furnish under the <br />Loan Documents at commercially reasonable rates, (c) cause structural injury to the Property, (d) <br />constitute waste, (e) make possible a claim of adverse possession or of implied dedication of the Property, <br />or (f) subject the Property to governmental seizure or forfeiture. Grantor shall not maintain or permit any <br />nuisance in, on or about the Property. Grantor will maintain the Property and Collateral in good condition <br />and repair, except for ordinary wear and tear. During normal business hours and, in the event of an <br />emergency, at any time, Grantor shall permit Lender and Lender's agents, employees, representatives, <br />inspectors and consultants to enter upon and inspect the Property. <br />6.4 EXPENSES. Grantor shall pay all expenses, costs and disbursements of every kind and <br />nature incurred by or on behalf of Grantor with respect to the use, operation, management, maintenance, <br />or repair of the Property. <br />6.5 LITIGATION. Grantor shall give Lender prompt written notice of any action or <br />proceeding commenced or threatened against Grantor, any other Guarantors or the Property and will <br />deliver to Lender copies of all notices and other information regarding such proceeding or action <br />promptly upon receipt or transmittal thereof. <br />6.6 FINANCIAL INFORMATION. <br />(a) Grantor shall keep and maintain at all times at Grantor's Address stated in this <br />Instrument, or such other place as Lender may approve in writing, complete and accurate books of <br />accounts and records adequate to reflect correctly the results of the operation of the Property and copies of <br />all written contracts, leases, and other instruments which affect the Property.
