I <br />Assignee shall be under no obligation to Assignor to press any of the rights or claims assigned <br />to it hereunder or to perform or carry out any of the obligations undertaken by Assignor under the <br />y leases, and it does not assume any of the liabilities in connection with, or rising or growing out of, <br />the.covienants and agreemen is of the Assignor; and Assignor covenants and agrees that it will faith• <br />fully perform all of the obligations imposed upon it under the leases herein assigned, and agrees to <br />indemnify Assignee, and hold Assignee harmless, from any and all liability, loss or damage which <br />may or might be incurred by Assignee under the leases or under or by reason of this Assignment, and <br />from any and all claims and demands whatsoever which be asserted against the Assignee by reason of <br />any alleged obligation or undertakings on its part to perform or discharge any of the terms, covenants <br />or shall not operate to place responsibility for the control, care management or repair of said leased <br />premises upon Assignee, nor for the carrying out of the terms and conditions of the leases, nor shall <br />it operate to make Assignee responsible or liable for any waste committed on the property by tenants <br />or occupants under such leases or any other party, or for an y dangerous or defective condition of the <br />premises or for eny negligence in the management, upkeep, repair or control of said premises resulting <br />in loss, injury Orr death to any tenant, licensee, employee, occupant or any other persons. <br />Upon p�v�s .ent in full of the indebtedness for which this Agreement is additional security, <br />this Assignmer+ shall be, and become, null and void from and after said date, and otherwise, it <br />` shall remain anal ¢e in full force and effect as herein provided, and together with the covenantsand <br />I warranties herein contairre 1, shall inure to the benefit of the Assignee and any subsequent holder <br />of said indebtedness, and shall he binding upon Assignor, its heirs, executors, administrators, <br />successors andassigns and any subsegrient owner of the mortgaged premises. <br />IN W1TAlESS WHEREOF, Assignor has executed this Agreement as of the day and year above <br />written. <br />",lop /C?. <br />Lynn R.
