Klimek, also known as Lawrence Klimek, and Billie Klimek, husband and wife, GRANTORS, in consideration of One Dollar ($1.00) and other good and valuable consideration, receipt of which is hereby acknowledged, grant and convey to Michael Klimek, GRANTEE, a Right of First Refusal and Option to Purchase the following described real estate (as defined in Neb. Rev. Stat. Sec. 76-201) in Hall County, Nebraska: See attached Exhibit "A". Grantors hereby grant said right of first refusal and option under the following terms and conditions: 1. Before Grantors can sell, transfer or convey such real estate, they must first offer said property to Grantee. Grantors shall offer said property to Grantee in writing and shall include a copy of the certified appraisal. Said written offer shall be hand delivered to Grantee or sent by certified United State Mail, return receipt requested. Grantee shall have thirty (30) days from the receipt of written notice, to exercise said right of first refusal and option. The Right of First Refusal and Option may be exercised by the Grantee delivering, by hand or certified United States mail, return receipt requested, a Notice of Exercise of Right of First Refusal and Option. At that time, Grantors and Grantee shall enter into a standard real estate contract for the purchase of said real estate. 2. The purchase price for said real estate shall be its appraised value as determined by a certified real estate appraiser who shall be selected by the Grantors. 3. Said purchase price shall be paid in cash or certified funds at the time a deed to the property is delivered to Grantee. 4. This Option and Right of First Refusal shall not be assigned without the written consent of the Grantors. 5. This is the full and complete agreement between Grantors and Grantee, and all other agreements, written or oral, are incorporated herein.
