Klimek, also known as Lawrence Klimek, and Billie Klimek, husband <br />and wife, GRANTORS, in consideration of One Dollar ($1.00) and other good and valuable <br />consideration, receipt of which is hereby acknowledged, grant and convey to Michael Klimek, <br />GRANTEE, a Right of First Refusal and Option to Purchase the following described real estate <br />(as defined in Neb. Rev. Stat. Sec. 76-201) in Hall County, Nebraska: <br />See attached Exhibit "A". <br />Grantors hereby grant said right of first refusal and option under the following terms and <br />conditions: <br />1. Before Grantors can sell, transfer or convey such real estate, they must first offer <br />said property to Grantee. Grantors shall offer said property to Grantee in writing and shall include <br />a copy of the certified appraisal. Said written offer shall be hand delivered to Grantee or sent by <br />certified United State Mail, return receipt requested. Grantee shall have thirty (30) days from the <br />receipt of written notice, to exercise said right of first refusal and option. The Right of First <br />Refusal and Option may be exercised by the Grantee delivering, by hand or certified United States <br />mail, return receipt requested, a Notice of Exercise of Right of First Refusal and Option. At that <br />time, Grantors and Grantee shall enter into a standard real estate contract for the purchase of <br />said real estate. <br />2. The purchase price for said real estate shall be its appraised value as determined <br />by a certified real estate appraiser who shall be selected by the Grantors. <br />3. Said purchase price shall be paid in cash or certified funds at the time a deed to <br />the property is delivered to Grantee. <br />4. This Option and Right of First Refusal shall not be assigned without the written <br />consent of the Grantors. <br />5. This is the full and complete agreement between Grantors and Grantee, and all other <br />agreements, written or oral, are incorporated herein. <br />
