(successor by merger to The Chase Manhattan Bank (National <br />Association)))), a New York corporation, organized and existing under the laws of the State of <br />New York, with a post office address of 240 Greenwich Street, New York, New York 10286 (the <br />"Trustee"), as Trustee under that certain General Mortgage Indenture and Deed of Trust, by and <br />between NorthWestern Corporation (formerly known as NorthWestern Public Service Company) <br />("the "Company"), and the Trustee, dated as of August 1, 1993, as recorded in the Register of <br />Deeds in Document No. 93-106874, as supplemented and amended in Document Nos. 93-107154, <br />95-105272, 95-106241, 95-106242, 95-106243, 200302132, 200410978, 200804897, 201009342, <br />201407773, 201407774, 201500400, 201507904, 201606412, and 201607645 (the "Indenture"), <br />and pursuant to Section 8.04 of the Indenture, hereby quitclaims, conveys, assigns and transfers to <br />the Company, without recourse, and releases and discharges from the lien of the Indenture, the <br />following property: <br />(a) the real property situated in the county of Hall in the State of Nebraska, legally described <br />as follows: <br />The Easterly Fifty -Seven (E57') feet of the Northerly Sixty -Six (N66') feet of Lot <br />Three (3), and the Southerly Sixty -Six (S66') feet of Lot Three (3), and the <br />Southerly Sixty -Six (66') feet of Lot Four (4), all In Block Sixty -Two (62), In the <br />Original Town, now City of Grand Island, Hall County, Nebraska; together with <br />(b) all personal property located thereon. <br />This instrument is executed and delivered upon the express condition that nothing herein <br />contained shall be construed to release from the lien of the Indenture, or impair the lien of the <br />Indenture, upon any property subject thereto except the property hereinabove specifically <br />described. <br />Without limiting the foregoing, the Trustee hereby authorizes the Company to file such <br />UCC -3 Financing Statement Amendments in such jurisdictions as may be reasonably necessary to <br />provide notice to third parties that the property hereinabove specifically described has been <br />released from the Lien of the Indenture. <br />Page 1 of 2 <br />ON 1N3WNISNI SV 03/131N3 <br />
