201903960 <br />forth herein (allowing a reasonable time for completion of the two appraisals), the Selling Party <br />shall be free to sell or transfer such interest in the Real Estate to the third party without further <br />obligation hereunder; provided that such transfer shall be for the same price, and upon the same <br />terms and conditions as were communicated by the Selling Party in the notice required <br />hereinabove. If transfer of title to said third party shall not be consummated within six (6) <br />months after the original notice to the ROFR Party, the terms and conditions of this Agreement <br />Granting Right of First Refusal shall continue in full force and effect as if no such offer had been <br />made. <br />6. Notwithstanding any other provision herein to the contrary, either party may, at any <br />time, assign or transfer all or any part of his interest in the Real Estate and his rights and <br />obligations under this Agreement to his spouse and/or to his lineal descendants. Any such <br />transferee shall be bound by the terms of this Agreement. <br />7. If, at the time of any proposed sale by either party, the other is deceased or mentally <br />incapable of handling his business affairs, the notice required hereinabove shall be given to the <br />spouse and/or the lineal descendants of such party, as the case may be. <br />8. Either party may, at any time, elect to sell his interest in the Real Estate, regardless of <br />whether a third party has offered to purchase such interest. Such party shall provide notice of <br />such election to the other party. The other party shall have the right to purchase the Selling <br />Party's interest for the price determined as set forth in paragraph 4 above. In the event that the <br />other party fails or refuses to exercise such right to purchase within thirty (30) days of receipt of <br />said notice (allowing a reasonable time for completion of the two appraisals), the parties shall <br />proceed to sell all of the Real Estate, with the net proceeds to be divided between them utilizing <br />the ratio for the improvements on the Real Estate as described in paragraph 4 above. <br />9. This Right of First Refusal may not be assigned by either party to any other person or <br />entity without the prior consent of all parties to this Agreement, except to immediate family <br />members as provided hereinabove. <br />10.
