Return to: JViaero Fiber Networks, LLC p1224 West Platte Ave. Fort Morgan, CO 80701 0) 1\) (0 co73 0) aa(° ASSIGNMENT AND ASSUMPTION AGREEMENT This Assignment and Assumption Agreement (the "Agreement"), effective as of the 27th day of March, 2019, (the "Effective Date"), is by and between NE Colorado Cellular, Inc., a Colorado corporation, d/b/a Viaero Wireless ("Assignor"), and Viaero Fiber Networks, LLC, a Colorado limited liability company ("Assignee"). WHEREAS, Assignor has agreed to assign all of its rights, title and interests in, and Assignee has agreed to assume all of Assignor's duties and obligations under the License Agreement between the City of Grand Island, Nebraska, a municipal corporation, and NE Colorado Cellular, Inc., dated May 16, 2017, and recorded on May 23, 2017 in the Hall County Register of Deeds as Instrument No. 201703404. NOW, THEREFORE, in consideration of the mutual covenants, terms and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows: 1. Assignment and Assumption. Assignor hereby assigns, grants, conveys and transfers to Assignee all of Assignor's right, title and interest in and to the above described License Agreement as it relates to the ability to construct, maintain, repair and utilize the City of Grand Island's public right-of-way for this installation of fiber conduit to serve 4940 Gold Core Drive, as more particularly described as Lot Ten (10), Platte Valley Industrial Park Third Subdivision, City of Grand Island, Hall County, Nebraska. Assignee hereby accepts such assignment and assumes all of Assignor's duties, risks and obligations under the License Agreement and agrees to pay, perform and discharge, as and when due, all of the obligations of Assignor under the License Agreement. 2. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Nebraska and the City of Grand Island, Nebraska.
