Rasmussen and Barbara A. <br />Rasmussen, husband and wife ("Grantors"), C & I Cattle Company, a Nebraska Corporation also <br />known as C and I Cattle Company, ("Grantee") and Kenneth A. Kohlhof, a single person <br />("Kohlhof'). <br />RECITALS: <br />WHEREAS, Grantors are the owners of certain real property in the South Half of the Southwest <br />Quarter (S1/2SW1/4) of Section Thirty Four (34), Township Thirteen (13) North, Range Eleven <br />(11) West of the 6th P.M. in Howard County, Nebraska, more particularly described in Exhibit A, <br />hereafter referred to as "Rasmussen's Property; and <br />WHEREAS, Grantee is the owner of certain real property in the Northwest Quarter (NW1/4) of <br />Section Four (4), Township Twelve (12) North, Range Eleven (11) West of the 6th P.M. in Hall <br />County, Nebraska, more particularly described in Exhibit B, hereafter referred to as the "C&I's <br />Property"; and <br />WHEREAS, Kohlhof is the owner of certain real property in the Southwest Quarter (SW1/4) of <br />Section Thirty Four (34), Township Thirteen (13) North, Range Eleven (11) West of the 6th P.M. <br />in Howard County, Nebraska, more particularly described in Exhibit C, hereafter referred to as <br />"Kohlhof s Property"; and <br />WHEREAS, Grantee operates, or will operate, a Class 2 feedlot for cattle only and no other <br />livestock to be operated solely on the C & I Property ("Commercial Feedlot"); and <br />WHEREAS, Grantors reside in a single family residence located on the Rasmussen Property; and <br />
