RECITALS: <br />1 <br />rr <br />() <br />CL> <br />SUBORDINATION, NON - DISTURBANCE AND ATTORNMENT AGREEMENT <br />rTl <br />c� <br />C ,r. <br />This SUBORDINATION, NON - DISTURBANCE AND ATTORNMENT <br />AGREEMENT (this "Agreement ") dated the 18 day of June, 2018 is among FARM CREDIT <br />LEASING SERVICES CORPORATION, a federally chartered instrumentality of the United <br />—1 States whose address is 600 Highway 169 South, Suite 300, Minneapolis, Minnesota 55426 <br />( "FCL "), MARK L. WOOLDRIK AND MICHELLE M. WOOLDRIK, husband and wife, whose <br />address is 1952 HWY 32, West Point, NE 68788 ( "Landowner "), and FROST POINT INC., a <br />Nebraska corporation, whose address is 8099 S 150 Road, Wood River, NE 68883 ( "Tenant "). <br />A. Landowner and Tenant have entered into a Facility Lease Agreement dated as of <br />June 18, 2018 (as the same may be amended, restated, supplemented or otherwise modified from <br />time to time, the "Lease "), pursuant to which Tenant is leasing all or a portion of the real <br />property described on Exhibit A hereto (the "Property") from Landowner, subject to the terms of <br />the Lease; <br />B. Landowner has entered into a Deed of Trust in favor of FCL dated as of June 18, <br />2018 and covering the Property (as the same may be amended, restated, supplemented or <br />otherwise modified from time to time, the "Security Instrument "; the Security Instrument <br />collectively with all easements, leases, options for easements or leases, and all other estates, <br />rights, options, interests, liens and charges in, to or relating to the Property or any improvements <br />located thereon at any time granted by Landowner to or in favor of FCL, in each case as the <br />same may be amended, restated, supplemented or otherwise modified from time to time , the <br />"FCL Interests "), which Security Instrument secures certain of Landowner's or Landowner's <br />affiliates' obligations in favor of FCL; <br />C.
