WOOLDRIK AND MICHELLE M. WOOLDRIK, husband and wife, whose address is 1952 HWY 32, West Point, NE 68788 ( "Landowner "), and FROST POINT INC., a Nebraska corporation, whose address is 8099 S 150 Road, Wood River, NE 68883 ( "Tenant "). A. Landowner and Tenant have entered into a Facility Lease Agreement dated as of June 18, 2018 (as the same may be amended, restated, supplemented or otherwise modified from time to time, the "Lease "), pursuant to which Tenant is leasing all or a portion of the real property described on Exhibit A hereto (the "Property") from Landowner, subject to the terms of the Lease; B. Landowner has entered into a Deed of Trust in favor of FCL dated as of June 18, 2018 and covering the Property (as the same may be amended, restated, supplemented or otherwise modified from time to time, the "Security Instrument "; the Security Instrument collectively with all easements, leases, options for easements or leases, and all other estates, rights, options, interests, liens and charges in, to or relating to the Property or any improvements located thereon at any time granted by Landowner to or in favor of FCL, in each case as the same may be amended, restated, supplemented or otherwise modified from time to time , the "FCL Interests "), which Security Instrument secures certain of Landowner's or Landowner's affiliates' obligations in favor of FCL; C.
