SPECIAL PROVISION — GUARANTOR LIABILITY <br />In order to induce Railroad to enter into the above Assignment with ANDi PROPERTIES LLC, <br />(Assignee), Kay Andersen (Guarantor) unconditionally and absolutely guarantees to perform all of the <br />obligations of Assignee and Assignor under the Lease to the same extent as if Assignee, Assignor and <br />Guarantor had been named in the Lease as tenants with joint and several liability for the performance of <br />all of the Assignor's and Assignee's covenants and conditions contained in the Lease. Guarantor waives <br />any legal obligation of Railroad to proceed first against Assignor or to exhaust any remedy Railroad may <br />have against Assignee. All notices given to Assignee under the Lease will be deemed to have been given <br />to Guarantor. Any modification, amendment, waiver, change or extension of any of the terms, covenants, <br />or conditions of the Lease which Railroad and Assignee may hereafter make (including, without <br />limitation, any extension or renewal of the term of the Lease) will not in any way impair or discharge <br />Guarantor's liability to Railroad, regardless of whether Guarantor has notice or knowledge thereof. <br />IN WITNESS WHEREOF, the parties hereto have caused this Agreement to be executed as of <br />the date first herein written. <br />UNION P . ;, l RA.ILRO MPANY <br />Manager - Real Estate <br />KAY E.
