WITNESSETH
<br />THAT WHEREAS, Five Points Bank did execute a Deed of Trust, dated February 14,
<br />1997 in Docket 97- 101170 and a modification dated January 10, 2000 in Docket
<br />200000236 and a Deed of Trust dated January 10, 2000 in Docket 200000238, Official
<br />Records of said county and
<br />WHEREAS, Owner has executed, or is about to execute, a Deed of Trust and note in the
<br />sum of $20,000, dated '6 �A 3 — , 2000, in favor of First Union National Bank of
<br />Delaware, herein referred to as "Lender ", payable with interest and upon the items and
<br />conditions described therein, which Deed of Trust is to be recorded concurrently
<br />herewith: and
<br />WHEREAS, it is a condition precedent to obtaining said loan that said Deed of Trust to
<br />First Union National Bank of Delaware will take precedent over Deed of Trusts filed by
<br />Five Points Bank.
<br />IN W],TN EOF, the undersigned has executed this Subordination Agreement, at Grand

<br />NOTICE: This Subordination Agreement may result in your security interest in the
<br />property becoming subject to and of lower priority that the lien of some other or later
<br />security instrument.

<br />THIS AGREEMENT, made this 3rd day of NAA114, 2000, by Linda Sheeks owner of
<br />the land hereinafter described and hereinafter refe ed to as "owner" and present owner
<br />and holder of the Deed of Trust and not first hereinafter described and hereinafter
<br />referred to as "Beneficiary ".
