Nos. 54772 -5 <br />54772 -3 <br />PERPETUAL EASEMENT DEED <br />201707135 <br />THIS EASEMENT DEED, made as of the 15th Day of April, 2016, by <br />UNION PACIFIC RAILROAD COMPANY, a Delaware corporation, Grantor, to SPRINT <br />COMMUNICATIONS COMPANY L. P., a Delaware limited partnership, Grantee: <br />WITNESSETH: <br />That Grantor and Grantee have entered into a Fiber Optic Agreement <br />dated as of February 13, 1985 (hereinafter the "Agreement ") whereby Grantor has <br />granted to Grantee the right to construct, operate and maintain a Fiber System on the <br />property of the Grantor located in Hall County, Nebraska, under the terms, provisions, <br />and conditions contained in said Agreement, one of which is that Grantor shall grant to <br />Grantee a perpetual easement in the form of this deed. <br />NOW, THEREFORE, for and in consideration of Ten Dollars ($10.00), the <br />receipt of which is hereby acknowledged, and for other good and valuable <br />consideration, Grantor by these presents does hereby grant to Grantee a PERPETUAL <br />EASEMENT to construct, reconstruct, rebuild and reinstall the fiber optic <br />communications system ( "Fiber System ") as shown and in the locations shown on <br />Pages 405 -01 to 419 -02 and 13 -01 to 16 -01 of Exhibit A, attached hereto and by this <br />reference made a part hereof, and reasonable ingress and egress to and from the <br />location of the Fiber System for the purpose of constructing, reconstructing, rebuilding, <br />reinstalling, operating and maintaining the Fiber System. <br />SUBJECT TO and RESERVING unto the Grantor, its successors and <br />assigns, the following: <br />a. The foregoing grants are made without covenant of title or for quiet <br />enjoyment and without warranty of title express or implied, and are subject and <br />subordinate to outstanding or superior rights; <br />b. The foregoing grants are also subject and subordinate to the prior and <br />continuing right and obligation of Grantor to use and maintain its entire property in the <br />performance of its public duty as a common carrier and are also subject to the right and <br />power of Grantor to construct, maintain, repair, renew, use, operate, change, modify or <br />relocate railroad tracks, signal, communication or other wire or fiber lines, pipe lines and <br />other facilities upon, along or across any or all parts of the Grantor's property, or permit <br />others to do so for Grantor, all or any of which may be freely done at any time or times <br />1 <br />
