201705831 <br /> 6. Execute or file quitclaim deeds or, only where necessary and appropriate, special <br /> warranty deeds or other deeds causing the transfer of title to Purchaser or a third <br /> party, in respect of any REO property acquired through a foreclosure or deed-in-lieu <br /> of foreclosure; <br /> 7. Execute or file any documents necessary and appropriate to substitute the creditor or <br /> foreclosing party in a bankruptcy or foreclosure proceeding in respect of any of the <br /> Loans, but specifically excluding affidavits or other sworn statements; and <br /> 8. [Execute and file any lost document affidavits (relating to, without limitation, lost <br /> notes, lost mortgages, and lost deeds of trust, among other items)] <br /> With respect to the Actions, Purchaser gives to said attorney-in-fact full power and authority to <br /> execute such instruments and to do and perform all and every act and thing requisite, necessary <br /> and proper to carry into effect the power or powers granted by or under this Limited Power of <br /> Attorney as fully, to all intents and purposes, as the undersigned might or could do, and hereby <br /> does ratify and confirm all that said attorney-in-fact shall lawfully do or cause to be done by <br /> authority hereof. <br /> Notwithstanding the foregoing, nothing contained herein shall be construed to grant Seller the <br /> power to (i) initiate or defend any suit, litigation, or proceeding in the name of Purchaser or be <br /> construed to create a duty of Purchaser to initiate or defend any suit, litigation, or proceeding in <br /> the name of Seller, (ii) incur or agree to any liability or obligation in the name of or on behalf of <br /> Purchaser, or (iii) execute any document or take any action on behalf of, or in the name, place or <br /> stead of,Purchaser, except as provided herein. <br /> Seller hereby agrees to indemnify and hold Purchaser harmless from and against any and all <br /> liabilities, obligations, losses, damages, penalties, actions, judgments, suits, costs, expenses or <br /> disbursements of any kind or nature whatsoever incurred by reason or result of the misuse of this <br /> Limited Power of Attorney by Seller. The foregoing indemnity shall survive the termination of <br /> this Limited Power of Attorney. <br /> This Limited Power of Attorney is entered into and shall be governed by the laws of the State of <br /> New York without regard to conflicts of law principles of such state and is valid only for the <br /> Interim Subservicing Period, as defined in the Agreement, unless cancelled prior to said date. <br /> IN WITNESS WHEREOF, Nationstar Mortgage, LLC has caused these presents to be signed <br /> and acknowledged in its name and behalf by Kira Allen, its duly elected and authorized <br /> Assistant Secretary, onthis25th dayofJuly, 2017. <br /> Nationstar Mortgage LLC <br /> By: .. <br /> Name: Kira Allen <br /> Title: Assistant Secretary <br />
