CO NOW,THEREFORE,the parties hereto agree as follows: 4 1. If Cordes receive a bona fide offer for the sale of the property described on Exhibit A,and they desire to accept the same,they must first offer to Engel the right to purchase the property gunder the same terms and conditions as the bona fide offer which they desire to accept.Cordes must first offer said property to Engel in writing,and Engel shall thereafter have thirty(30)days from his receipt of said notification to exercise his Right of First Refusal. The Right of First Refusal may be exercised by Engel by mailing to Grantor, by certified United States Mail, return receipt requested,a"Notice of Exercise of Right of First Refusal",after which time Cordes and Engel will enter into a standard real estate contract for the purchase of real estate under the same terms and conditions as the bona fide offer. 2. This Right of First Refusal may not be assigned. 3. This agreement shall be binding upon the successors and,personal representatives of the parties hereto.
