WHEREAS, under date of March 17, 2011 the Agreement was recorded with the Hall County Register of Deeds as Instrument No. 021102121; and WHEREAS, at the time of the execution of the Agreement Tract 1 and a portion of the irrigation equipment situated on Tract 1 and Tract 2 was owned by D & M Jones and Diamond -J; and WHEREAS, at the time of the execution of the Agreement Tract 2 and a portion of the irrigation equipment situated on Tract 2 and Tract 1 was owned by Jones, Trustee; and WHEREAS, the parties hereto intend to enter into a like -kind exchange agreement and related documents, the result of which will be to cause Tract 1 and Tract 2 and the irrigation equipment situated thereon to be owned by the same party; and WHEREAS, since Tract 1 and Tract 2 and the irrigation equipment situated thereon will be owned by the same party there is no longer a need for the continued existence of the Agreement. NOW, THEREFORE, for good and valuable consideration the receipt and adequacy of which is hereby acknowledged the parties hereto hereby rescind the Easement and Water Use Agreement dated March 7, 2011 recorded in the Office of the Hall County Register of Deeds as Instrument No. 021102121 and declare said Agreement to be null and void and of no further force or effect whatsoever.
