HOCH, INC., a corporation organized and existing under the
<br />laws of the State of Nebraska, GRANTOR, pursuant to the terms and
<br />conditions of a certain Supplement to Amended and Restated Real
<br />Property Exchange Agreement between Grantor and Grantee dated
<br />June 15, 2001 conveys to GRANTEE, GIAET, L.L.C., a Nebraska
<br />limited liability company, the following described real estate
<br />(as defined in NEB. REV. STAT. 76 -201):
<br />Lots One (1) and Two (2) Hoch Subdivision, City of
<br />Grand Island, Hall County, Nebraska.
<br />GRANTOR covenants (jointly and severally, if more than one)
<br />with GRANTEE that GRANTOR:
<br />(1) is lawfully seized of such real estate subject to liens
<br />and encumbrances of record;
<br />(2) has legal power and lawful authority to convey the
<br />same; and
<br />(3) warrants and will defend title to the real estate
<br />against the lawful claims of all persons, excepting as to liens
<br />and encumbrances of record.
<br />The conveyance of the aforedescribed real estate herein is sub-
<br />ject to all liens and encumbrances of record, which by separate
<br />agreement Grantor shall remain fully liable for the payment
<br />thereof.
