MORTGAGE AND INDENTURE OF TRUST <br />THIS MORTGAGE AND INDENTURE OF TRUST, inade-and:.'entered into <br />as of the 1st day of August, 1975, -by and between THE COUNTY OF. <br />HALL; in -the State of Nebraska (herein�fter.sometimes referred to:... <br />as the "County"), Party of the First Part, and FIRST NATIONAL BANK <br />OF GRAND ISLAND, a national banking association.duly organized, <br />existing and authorized to accept and execute trusts of the character <br />herein set out under and by virtue of thela`as of the United .States <br />of America, with its principi31 office and post 'office address` in- . <br />the City of Grand Island, Nebraska, as Trustee (hereinafter some-. <br />times referred :to as the "Trustee"), Party of the• Second Part <br />W I T N E S S E T H: <br />WHEREAS, the County is authorized by Section.2 of Article <br />XIII of the Nebraska Constitution and Sections 181614 to 18-1623, <br />Reissue Revised Statutes of !vebraska, 1943,,(as amended (hereinafter <br />sometimes collectively referred to as. the "Act") , ' to. acquire lands <br />and to construct or acquire imanufacturing and industrial plant <br />buildings and related improvements and machinery,. equipment; <br />fixtures and other personal properties deemed necessary in connec- <br />tion therewith, and 'to lease the 'same as a ',project,; in order : to <br />provide for'the acquisition, purchase, construction, improvement, <br />betterment and extension of 'industrial development:'in Nebraska; <br />WHEREAS, the County is 'authorized by the Act to issue revenue, <br />bonds secured by a mortgage on such a project and payable solely <br />from the revenues derived from leasing�suchiproject thus acquired <br />or con•structed'through the ilssuance of such revenue bonds and from <br />the'Bond Fund herein established; <br />WHEREAS, the County•has negotiated and;;pursuant to a Resolu- <br />tion of the County duly adopted by -its Chairman and Board of..' <br />Supervisors, has entered into a Lease and Agreement with GIA,.Inc.,'' <br />a Delaware corporation duly qualified to dogbusiness in Nebraska <br />(the "Company or the "Lessee") predicated upon the findings and <br />determinations`by the Board of Supervisorsas the governing body <br />of said County, as required particularly by Section 18-1618.of the <br />- - - Z 5 <br />
