Assignee shall be under no obligation to Assignor to press any of the rights or claims assigned <br />to it hereunder or to perform or carry out any of the obligations undertaken by Assignor under the <br />leases, and it does not assume any of the liabilitiast in connection with, or rising or growing out of, <br />? �' 1�fownants and agreements of the Assignor, and Assignor cowenents and agrees that it will faith- <br />Tully perform all of the obligations imposed upon It under the leases herein assigned, and agrees to <br />indemnify Assignee, and hold Assignee harmless, from any and all liability, loss or damage which <br />may or might be incurred by Assignee under the laws or under or by reason of this Assignment, and <br />from any and all claims and demands whatsoever which be asserted apeinst the Assignee by reason of <br />any a/leped obligation or undertakings on its part to perform or discharge any of the terms, covenants <br />or shall not operate to place responsibility for the control, care management or repair of said leased <br />promises upon Assignee, nor for the carrying out of the terms and conditions of the leases, nor shall <br />it operate to make Assignee responsible or liable for any waste committed on the property by tenants <br />or occupants under such leases or any other party, or for any dangerous or defective condition of the <br />premises or for any negligence in the management, upkeep, repair or control of said premises resulting <br />in loss, in%ury or death to any tenant, licensee, employee, occupant or any other persons. <br />Upon payment in full of the indebtedness for which this Agreement is addition e., security,,.. <br />this Assignment shall be, and become, null and void from and after said date; and a iPwisa, i t <br />shall remain and be in full force and effect as herein provided, and together with thw covenena and <br />warranties herein contained, shall inure to the benefit of the Assignee and any subrent holder <br />of said indebtedness, and shall be binding upon Assignor, its heirs, executors, administrators, <br />successors and assigns n subsequent s and f <br />y bsequent owner of the mortgaged premises. <br />IN WiMESS WHEREOF, Assignor has executed this Agreement as of the day and year above <br />written. <br />Wayne E.
