<br />5. The Purchaser's Guarantors have previously executed a Note
<br />Secured by Deed of Trust dated February 4, 1988, payable to Lender, on
<br />which Growth Management Corporation - North Platte is Borrower, in the
<br />amount of $150,000 secured by a Deed of Trust dated February 4, 1988
<br />and recorded February 5, 1988 in the office of the Register of Deeds
<br />of Lincoln County, Nebraska in Book 396, Pages 792 -801, which is
<br />secured by an Amigos restaurant located at 1210 South Jeffers, North
<br />Platte, Nebraska 69101, and have also previously executed a Note
<br />Secured by Deed of Trust dated June 10, 1988, payable to Lender, on
<br />which Growth Management Corporation - York is Borrower, in the amount
<br />of $235,000 secured by a Deed of Trust dated June 10, 1988 and
<br />recorded June 13, 1988 in the records of the County Clerk of York
<br />County, Nebraska in Volume 241 of Mortgages, Page 478, which is
<br />secured by an Amigos restaurant located at 3911 South Lincoln Avenue,
<br />York, Nebraska 68467, and a Note Secured by .Deed of Trust dated July
<br />25, 1988, payable to Lender, on which Growth Management Corporation -
<br />Pioneers is Borrower, in the amount of $450,000 secured by a Deed of
<br />Trust dated July 25, 1988 and recorded July 26, 1988 in the office of
<br />the Register of Deeds of Lancaster County, Nebraska as' Instrument No.
<br />88- 21368, which is secured by an Amigos restaurant located at 4240
<br />South 14th Street, Lincoln, Nebraska 68512, and and a Note Secured by
<br />Deed of Trust dated September 29, 1988, payable to Lender, on which
<br />Growth Management Corporation - Kearny II is: Borrower, in the amount
<br />of $200,000 secured by a Deed of Trust dated September 29, 1988 and
<br />recorded September 30, 1988 in the office of the Register of Deeds of
<br />Buffalo County, Nebraska in Film Roll 88, Pages 8204 thru 8211, which
<br />is secured by an. Amigos restaurant located at 4207, Second Avenue,
<br />Kearney, Nebraska 68847. The Purchaser's Guarantors are executing a
<br />Note Secured by 'Deed of Trust dated as of the same date hereof,
<br />pursuant to an Application for Income Property Loan dated October 4.
<br />1988 and Commitment Letter dated January 4, 1989, in the amount of
<br />$70,000 payable to Lender, and which will be a second lien on the same
<br />property securing this loan. Lender has also issued an Application
<br />for Income Property Loan dated December 2, 1988• and Commitment Letter
<br />dated December 21, 1988 for a loan in the amount of $360,000 to Growth
<br />Management Corporation - Cornhusker Hwy., to be secured by an Amigos
<br />restaurant located, at 29th and Cornhusker Highway, Lincoln, Nebraska
<br />68521, with the Guarantor executing any Note issued pursuant to said
<br />Commitment. Purchaser and Purchaser's Guarantors hereby agree that a
<br />default under the terms and conditions of either the said Note being
<br />assumed pursuant to this Assumption Agreement, said previous Notes, or
<br />any Notes issued pursuant to the aforementioned Commitments or under
<br />the terms and conditions of any document securing any of said Notes as
<br />may be amended, including this Assumption Agreement, shall constitute
<br />a default under the terms and conditions under all of the loan
<br />documents.
