<br />This indenture made this 30th day of December, 1988, between
<br />NEBRASKA PETERBIL~-FORD, INC., a Nebraska corporation, herein-
<br />after referred to as "Grantor, II and DOONAN TRUCK & EQUIPMENT,
<br />INC., a Kansas corporation, hereinafter referred to as "Grantee."
<br />
<br />WITNESSETH:
<br />
<br />WHEREAS, Grantor is seized of an estate in fee simple of the
<br />real estate legally described on the attached Exhibit "A" (which
<br />Exhibit is incorporated herein and made a part hereof by this
<br />reference) and is hereinafter referred to as "Tract 1": and
<br />
<br />WHEREAS-, Grantee is seized ,of an est:ate in fee si..~pie of, the
<br />real estate which is located directly adjacent to the north of
<br />Tract 1 and is legally described on the attached Exhibit DB"
<br />(which Exhibit is incorporated herein an~ made a part hereof by
<br />this reference) and is hereinafter referred to as It.Tract 2" 1 and
<br />
<br />WHEREAS, in order for Grantee to have access for ingress and
<br />egress to Tract 2. it is necessary to secure from Grantor an
<br />easement over, through and upon a portion of Tract 1; and
<br />
<br />WHEREAS, Grantor is willing to grant to Grantee a perpetual
<br />non-exclusive access easement for ingress and eqress to Tract 2
<br />upon the terms and conditions contained hereinbelow.

<br />NOW, THEREFORE, in consideration of the sum of One Dollar
<br />($1.00) and other good and valuable consideration, the receipt
<br />and adequacy of which is hereby acknowledged, Grantor hereby
<br />grants and conveys unto Grantee, its successors and assigns, a
<br />perpetual easement over, through and upon the westerly 80 feet of
<br />Tract 1 for purposes of permitting Grantee to have ingress and
<br />egress access to Tract 2.

<br />Grantor further grants and conveys.unto Grantee, its successors
<br />and assigns, full and free right and liberty for it, its tenants,
<br />servants, visitors and licensees, the non-e,cClusive use and
<br />enjoyment of the said westerly 80 fee~'of 'l'ra.qt: 1. to pass and
<br />re-pass across Tract 1 in connection w.ith Whatever purposes
<br />Tract 2 may be lawfully used and enjoyed by Grantee, its
<br />successors, assigns, tenants, servants, visitors and licensees.

<br />The grant of easement as contained herein is specifically
<br />subject to a reservation by Grantor for the use and enjoyment of
<br />said westerly 80 feet of Tract 1 by Grantor, its successors,
<br />assigns,. tenants, servants, visitors and licensees, in connection
<br />with whatever purposes Tract 1 may be lawfully used and enjoyed
<br />by Grantor, its successors, assigns, tenants, servants, visitors
<br />and licensees.

<br />The grant of easement as contained herein shall in no way
<br />impose any.' duties, whatsoever upon Grantor to construct, maintain
<br />
