<br />MODIFICATION TO DEED OF TRUST
<br />THIS MODIFICATION TO DEED OF TRUST is made and entered into effective the 8th
<br />day of June, 2001, by and between HOCH, INC., a Nebraska corporation, and WELLS FARGO
<br />BANK NEBRASKA, NATIONAL ASSOCIATION, formerly known as Norwest Bank Nebraska,
<br />National Association ( "Trustee" or "Beneficiary ").
<br />RECITALS
<br />A. On or about March 24, 1995, H & H Partnership, a Nebraska general partnership ( "H
<br />& H ") executed and delivered to Trustee and Beneficiary a certain Deed of Trust ( "Deed of Trust ")
<br />with respect to the real estate described as follows:
<br />See Exhibit "A" attached and incorporated herein by this reference (hereinafter the
<br />"Real Estate ").
<br />The Deed of Trust was filed of record in the Office of the Register of Deeds of Hall County,
<br />Nebraska on March 28, 1995 and recorded as Document Number 95- 101798.
<br />B. The Deed of Trust, secures, among other things, the payment and performance of a
<br />certain promissory note ( "Note "), in the original principal amount of $3,080,000.00, together with,
<br />among other things, extensions, modifications, substitutions and renewals thereof, and together with
<br />optional future advances as provided for therein.
<br />C. H & H dissolved effective December 31, 2000. Hoch, Inc. is the present owner of
<br />the property and is obligated directly to Bank for all of the obligations of H & H and acquired the
<br />Real Estate subject to the Deed of Trust.
