RECITALS
<br />A. On or about June 16, 2000, Trustor executed and delivered to Trustee and
<br />Beneficiary a certain Deed of Trust ( "Deed of Trust ") with respect to the real estate described as
<br />follows:
<br />See Exhibit "A" attached and incorporated herein by this reference (hereinafter the
<br />"Real Estate ").
<br />The Deed of Trust was filed of record in the Office of the Register of Deeds of Hall County,
<br />Nebraska on June 16, 2000, and recorded as Instrument Number 0200004937. On June 16, 2000,
<br />Trustor executed and delivered to Trustee a certain assignment of leases and rents ( "Assignment of
<br />Leases and Rents ") with respect to the Real Estate. The Assignment of Leases and Rents was filed
<br />of record in the Office of the Register of Deeds of Hall County, Nebraska on June 16, 2000, as
<br />Instrument Number 0200004939.
<br />B. The Deed of Trust and the Assignment of Leases and Rents secure, among other
<br />things, Trustor's guarantee of the payment and performance of a certain promissory note ( "Original
<br />Note ") dated June 16, 2000 by H & H Partnership, a Nebraska general partnership ( "Borrower ") in
<br />the original principal amount of $3,500,000.00 together with, among other things, extensions,

<br />THIS MODIFICATION TO DEED OF TRUST AND ASSIGNMENT OF LEASES AND
<br />RENTS is made and entered into effective the 8th day of June, 2001, by and between GIAET,
<br />L.L.C., a Nebraska limited liability company ( "Trustor ") and WELLS FARGO BANK
<br />NEBRASKA, NATIONAL ASSOCIATION, formerly known as Norwest Bank Nebraska, National
<br />Association ( "Trustee" or "Beneficiary ").
