<br />CONTRACTS AND UNEXPIRED LEASES; (iv) DETERMINING THAT
<br />SUCH TRANSFERS ARE EXEMPT FROM ANY STAMP, TRANSFER,
<br />RECORDING, OR SIM[II.AR TAX; AND (v) GRANTING RELATED RELIEF,
<br />INCLUDING A PROHIBITION OF RECOURSE
<br />Upon the motion, dated April 12, 2000 (the "Settlement Motion "), of Integrated Health
<br />Services, Inc. ( "MS "), and certain of its direct and indirect subsidiaries which are also debtors
<br />and debtors -in- possession in the above - captioned cases (collectively, the "IHS Debtors")' for an
<br />order under 11 U.S.C. § §105, 363, 365 and 1146 and Bankruptcy Rules 6004, 6006, and 9019:
<br />(i) approving a Settlement Agreement,2 together with all appendices and exhibits, between the
