THIS NOTICE OF ASSIGNMENT OF LEA E (this "Notice ") is
<br />entered into as of this -40- day of , 2000, by and between
<br />ECA HOLDINGS, INC., a Delaware corporat on, with its principal
<br />office at The Highlands, 910 Ridgebrook Road, Sparks, Maryland
<br />21152, ( "Assignor ") and SHOPCO -NE LLC, a Delaware limited
<br />liability company with its principal office c/o Senior Housing
<br />Properties Trust, 400 Centre Street, Newton, Massachusetts 02458
<br />( "Assignee ").
<br />W I T N E S S E T H:
<br />WHEREAS, pursuant to the terms of that certain lease by and
<br />between Assignor and Health and Retirement Properties Trust
<br />( "HRP "), dated April 1, 1995, as amended (the "Lease "), notice
<br />of which was recorded on April 11, 1995 as Document No. 95-
<br />102215 of the real estate records of Hall County, Nebraska, HRP
<br />leased to Assignor and Assignor leased from HRP certain
<br />premises, as more particularly described on Exhibit A attached
<br />hereto; and
<br />WHEREAS, HRP assigned all of its right, title and interest
<br />in and to the Lease to SPTIHS Properties Trust, a Maryland real
<br />estate investment trust by an Assignment of Lease, Notice of
<br />which was recorded on October 8, 1999 as Document No.
<br />0099109909.
<br />WHEREAS, as of the date hereof, Assignor and Assignee
<br />entered into that certain Assignment of Lease Agreement
<br />[Assignment of Facility Lease] (the "Assignment ") pursuant to
<br />which Assignor assigned all of its right, title and interest in
<br />and to the Lease to Assignee; and
