201704501 or generally described, as fully and effectually to all intents and purposes as I could do in my own proper person if personally present, hereby ratifying and confirming all that my agent shall lawfully do or cause to be done by virtue of this power of attorney and the right and powers herein granted. 38. Restrictions on Powers of Agent. Notwithstanding the powers given my agent in other provisions of this document, my agent (a) shall have no incidents of ownership in any life insurance policy in which I own an interest and which insures my agent's life, (b) shall not hold or exercise any powers which I may have over assets my agent has given to me or over assets held in an irrevocable trust of which my agent is a settlor, (c) shall not transfer any of my assets in discharge of any of my agent's legal obligation, (d) shall not transfer to a third person any asset of mine in which my agent has a beneficial interest, (e) shall not hold or exercise any fiduciary powers that I now hold or may later acquire, (f) shall not hold or exercise any power which will cause my agent to be personally taxed on my income, and (g) shall not possess a general power of appointment (as that term is defined in Section 2041 of the Internal Revenue Code, as amended) with respect to any or all of my estate. 39. Nomination To Serve as Conservator. Should it become necessary for the appointment of a conservator for my property, I hereby nominate my agent as such conservator. 40. Ratification and Declaration in Favor of Persons Without Notice of Revocation. I hereby promise at all times to ratify and confirm all and whatsoever my agent shall lawfully do or cause to be done hereunder, including anything which shall be done between the revocation of this document by my death or in any other manner and notice of such revocation reaching my agent; and .,.htrchy declare that as against me and all persons claiming under me everything which my agent shall do or cause to be done in pursuance hereof after such revocation as aforesaid shall be valid and effectual in favor of any person claiming the benefit thereof who before the doing thereof shall not have had notice of such revocation. 41. Power of Attorney Effective Notwithstanding Disability of Principal Continues in Effect After Principal's Death Until Notice. Pursuant to the provisions of Nebraska Probate Code Section 30 -2665, I declare that this power of attorney shall not be affected by my subsequent disability or incapacity, and that the authority granted herein shall continue during any period while I am disabled or incapacitated. Further, pursuant to Section 30 -2668, all such authority shall continue after my death, until notice of such death shall have been received by my agent so that my agent has actual knowledge of the fact that I have died. Any action taken in good faith by said agent during any period while it is uncertain whether I am alive, before my agent receives actual knowledge of my death, or, in any event, taken during any period while I am disabled or incapacitated, shall be as valid as if I were alive, competent, and not disabled. 42. Revocation of Prior Powers. I revoke all prior General Durable Powers of Attorney (except Special or Limited Powers of Attorney and Powers of Attorney for Health Care and signature powers over savings or checking accounts) that I may have executed, and I retain the right to revoke this Power. 43.
