STATEMENT OF PURPOSE. The purpose of this License Agreement is to set forth the terms and conditions under which the Licensee may enter upon real estate owned by the Licensor to install telephone cable: To access the City's utility easement for installation of Qwest Corporation dba CenturyLink QC telephone cable to serve 3419 West State Street. 2. DESCRIPTION OF LICENSEE'S REAL ESTATE. The Licensee has requested such telephone cable be installed to serve the described real estate subject to the Licensor's utility easement to which this License Agreement shall apply: South One Hundred Ninety Five (195) Feet of East One Hundred Fifty (150) Feet of West Five Hundred Sixty (560) Feet of Lot One (1), Conestoga North Twelfth Subdivision, City of Grand Island, Hall County, Nebraska (Parcel #400390388). 3. LICENSEE'S DUTIES AND RISKS. It is understood and agreed that the Licensee may construct, maintain, repair and utilize the above described improvement at the Licensee's sole risk. The Licensee hereby waives any claim for damages against the Licensor, its officers, employee, agents and independent contractors for any damage or injury that may result to said improvement, except in instances willful misconduct or negligence. If the Licensor, in its sole discretion, determines that any part or all of the improvement must be removed or is damaged by the Licensor, its employees, agents or independent contractors working for the Licensor during the course of their employment or duties with the Licensor, the Licensee agrees to assume and pay all costs relating to the replacement or repair of the improvement, except in instances of willful misconduct or negligence on behalf of Licensor or its contractors. Licensee indemnifies and holds the City harmless from and against all claims arising out of the use or occupancy allowed under this agreement. All applicable local, state, and federal laws, rules and regulations shall be followed by the Licensee. 4. LICENSOR'S DUTIES AND RISKS. The City of Grand Island shall be held harmless from any work done by the Licensee. The Licensee shall be responsible for the work. The Licensor shall not be held responsible for any injury to the groundwater, injury to employees or agents of Qwest Corporation d /b /a CenturyLink QC, or injury to any
