ASSIGNMENT OF REAL ESTATE PURCHASE AGREEMENT "201702880 THIS ASSIGNMENT OF REAL )STATE PURCHASE AGREEMENT, (the "Assignment "), Made and entered into this J day of April, 2017, by and between Jerry and Marcia Hinrikus, husband and wife, (hereinafter referred to as "Hinrikus "), and Central National Bank, a national banking association, (hereinafter referred to as "Central National "). WITNESSETH: WHEREAS, Hinrikus have made and entered into a certain REAL ESTATE PURCHASE AGREEMENT, dated March 24, 2017, (the "Contract "), as Seller, and Jerome A. Katzberg, as Buyer, and WHEREAS, Pursuant to the Contract, the Buyer is to pay Hinrikus a purchase price of Five Hundred and Sixty Thousand Dollars ($560,000.00), which is to be paid as follow: (a) The entire purchase price shall be paid to Hinrikus at closing. (hereinafter referred to as the "Proceeds "); and WHEREAS, Hinrikus is indebted to Central National Bank for which Central National Bank has required the Assignment of the Contract and the Proceeds as collateral for the repayment of all indebtedness now or hereafter owed by Hinrikus to Central National Bank; and WHEREAS, The parties have entered into this Assignment for the purpose of assigning and transferring to Central National Bank the entire right, title, and interest of Hinrikus in the Proceeds, and to otherwise pledge and assign to Central National Bank any and all entitlements of Hinrikus under and pursuant to the Contract. NOW THEREFORE, In consideration of the above and foregoing, the parties hereto hereby agree as follows: 1. ASSIGNMENT: Hinrikus hereby sells, assigns, pledges, transfers and sets over unto Central National Bank, and its successors and assigns, their entire right, title and interest in the Proceeds, and otherwise pledges and assigns to Central National Bank the Contract and any and all entitlement of Hinrikus under and pursuant to the Contract. 2. DELIVERY OF PROCEEDS: Upon Closing of the Contract and/or receipt of all or any portion of the Proceeds by Hinrikus, Hinrikus agrees to immediately notify Central National Bank of their receipt and to immediately remit the Proceeds to Central National Bank, with such Proceeds applied by Central National Bank in a manner mutually agreed upon by Central National Bank and Hinrikus. For purposes of delivery of the Proceeds to Central National Bank, 1 For purposes of this Assignment, "Proceeds" shall be the "net" proceeds from the sale contemplated in the Contract after payment of all closing cost and related expenses payable to Hinrikus.
