<br />and between PLATTE RIVER WHOOPING CRANE MAINTENAN E TRUST, INC., A
<br />Corporation organized and existing under the laws of the State of
<br />Nebraska, as TRUSTOR, whose address is 6611 W. Whooping Crane
<br />Drive, Wood River, Nebraska 68883; FIVE POINTS BANK, A Nebraska
<br />Banking Corporation, as TRUSTEE, whose address is P.O. Box 1507,
<br />Grand Island, Nebraska 68802; and FIVE POINTS BANK of Grand Island,
<br />Nebraska, as BENEFICIARY.
<br />WITNESSETH:
<br />That TRUSTOR hereby grants, bargains, sells, conveys and
<br />warrants to TRUSTEE, IN TRUST, its successors and assigns, with
<br />power of sale, the following- described real property:
<br />Tract 1. The South Half of the South Half (S1 /2 S1 /2) of
<br />Section Seven (7), Township Nine (9) North, Range Twelve
<br />(12) , West of the 6th P.M., in Hall County, Nebraska,
<br />excepting therefrom Lot One (1) , Brooks Subdivision, Hall
<br />County, Nebraska, as surveyed, platted and recorded; and
<br />Tract 2. The Northwest Quarter of the Northeast Quarter
<br />(NW7 /4 NF /14), the Northeast Quarter of the Northwest Quarter
<br />(NE1 /4 NW1 /4), and the Northwest Quarter of the Northwest
<br />Quarter (NW1/4 NW1/4) (sometimes known as Lot 1) and Lots Five
<br />(5) and Six (6) , Mainland; all in Section Eighteen (18) ,
<br />Township Nine (9) North, Range Twelve (12) , West of the 6th
<br />P.M., in Hall County, Nebraska,
<br />together with all buildings, improvements and appurtenances
<br />thereon.
<br />The TRUSTOR hereby covenants and agrees with the TRUSTEE and
<br />BENEFICIARY that PLATTE RIVER WHOOPING CRANE MAINTENANCE TRUST,
<br />INC. is lawfully seized and the owner of the above - described
<br />property; that it has good right and lawful authority to sell and
<br />convey said premises and that said premises are free and clear of
<br />all liens and encumbrances, and further, that TRUSTOR will warrant
<br />and defend the title to said premises forever against the claims of
<br />all persons whomsoever.
<br />For the purpose of securing performance of each agreement of
<br />TRUSTOR herein contained and the payment of a Promissory Note dated
<br />February 19, 1999, in the original principal sum of SIX HUNDRED
<br />THOUSAND DOLLARS ($600,000.00), at the rate of interest and on the
<br />terms and conditions as set forth _n such Noce until pain. The
<br />principal sum and interest shall be payable in accordance with and
<br />upon the terms and conditions of said Note, and in any event the
<br />entire principal balance due thereunder and any accrued interest
<br />shall be paid on the Note's due date, January 10, 2006. All
<br />installment payments hereunder shall be applied first to the
<br />payment of interest computed annually on the unpaid balance,
<br />pursuant to an Amortization Schedule, a copy of which has been
<br />provided to each of the parties hereto, and remainder of each
<br />payment of each installment to be applied to principal. All
<br />payments due hereunder shall be paid at the residence of the
<br />BENEFICIARY or the holder of said security shall designate in
<br />writing.
