<br />Debtor, in consideration of the Indebtedness and the trust created by the
<br />MULTIFAMILY DEED OF TRUST, ASSIGNMENT OF RENTS AND SECURITY
<br />AGREEMENT executed by Debtor in favor of Secured Party (the "Deed of Trust ") and this
<br />UCC -1 Financing Statement, irrevocably grants, conveys and assigns to Secured Party the
<br />Mortgaged Property, including the Land.
<br />Capitalized terms used herein are defined as follows
<br />(a) "Collateral Agreement" means any separate agreement between Debtor and
<br />Secured Party for the purpose of establishing replacement reserves for the
<br />Mortgaged Property, establishing a fund to assure completion of repairs or
<br />improvements specified in that agreement, or assuring reduction of the
<br />outstanding principal balance of the Indebtedness if the occupancy of or income
<br />from the Mortgaged Property does not increase to a level specified in that
<br />agreement, or any other agreement or agreements between Debtor and Secured
<br />Party which provide for the establishment of any other fund, reserve or account.
<br />(b) "Fixtures" means all property which is so attached to the Land or the
<br />Improvements as to constitute a fixture under applicable law, including:
<br />machinery, equipment, engines, boilers, incinerators, installed building materials;
<br />systems and equipment for the purpose of supplying or distributing heating,
<br />cooling, electricity, gas, water, air, or light; antennas, cable, wiring and conduits
<br />used in connection with radio, television, security, fire prevention, or fire
<br />detection or otherwise used to carry electronic signals; telephone systems and
<br />equipment; elevators and related machinery and equipment; fire detection,
<br />prevention and extinguishing systems and apparatus; security and access control
<br />systems and apparatus; plumbing systems; water heaters, ranges, stoves,
<br />microwave ovens, refrigerators, dishwashers, garbage disposers, washers, dryers
<br />and other appliances; light fixtures, awnings, storm windows and storm doors;
<br />pictures, screens, blinds, shades, curtains and curtain rods; mirrors; cabinets,
<br />paneling, rugs and floor and wall coverings; fences, trees and plants; swimming
<br />pools; and exercise equipment.
<br />(c) "Impositions" and "Imposition Deposits" are defined in the Deed of Trust.
<br />(d) "Improvements" means the buildings, structures, improvements, and alterations
<br />now constructed or at any time in the future constructed or placed upon the Land,
<br />including any future replacements and additions.
<br />(e) "Indebtedness" means the principal of, interest on, and all other amounts due at
<br />any time under, the Note, the Deed of Trust or any other Loan Document,
<br />including prepayment premiums, late charges, default interest, and advances as
<br />provided in Section 12 of the Deed of Trust to protect the security of the Deed of
<br />Trust.
<br />(f) "Key Principal" shall have the meaning set forth in the Deed of Trust.
