Is lawfully seized of such real estate and that it is free and clear of all liens, <br />encumbrances, but is subject to those easements, covenants, restrictions, <br />reservations and matters of record approved by Grantee as set forth on Exhibit <br />"B" attached hereto and incorporated by reference herein; <br />2. Has legal power and lawful authority to convey the same; and <br />3.
