2� 1 ��439 �a� "Eligible AR Lender" sha��mean a bank, financial institution�r other instxtut��nal lender whic�is in the bus�ness o�mak�ng �oans to pravide worki�g capital to bus�nesses and vvhich is satisfacto�y to the Secure� Party and app�aved by HUD. �b� "Eligible AR Loan" sha�l mean a l�an or l�n� of credit obtained by �perator from an E��gi�Ie AR Lend�r for th� so�e purpose �f providing w�r�ing cap�tal for th� operation af the Hea�thcare Facility and, w�th the approval of HUD and Secured Party, other healt�care faci�ities that are en�umbered by martgage �oans insur�d�r he�d by HZID, up�n su�h terms as satis€act�ry to the Secured Par�y and approved by HUD. �c} "Event of Default" sha1� mean an Event of Default pursuant to the Security Agreement. �d} "�o�ernment Payments" sha�l mean a payment from a gavernmenta� entity and sha�� include, without limitation, payments governed under th� Social Security Act �42 U.S.�. §§ �395 et seq.}, inc�uding payments under Medicare, Medica�d and TRI�AREI�HAMPUS, and payrnents administered flr regulated by the �enters for Medicare and M�dicaid Servi�es of Department of Health and Human Services. (e} "Go�ernment Recei�ables Account�" shall mean separate deposit account(s} into which only �`ravernment Payments are depasited. (f} "HIJI]" shai� mean the Un�ted States I]epartment of Hous�ng and Urban I]evelopmer�t, acting by and through th� S�cretary, his �r her successors, assigns or designates. �g} "Leases" shall mean present and future leas�s, subleases, Iicens�s, eoncessions ar grants �r ather possessory interests, now or hereafter in force, whether oral or written, cavering or affecting the Hea�thcare Facility, or any por�ion�f the Health�are Facil�ty, and all madificat�ons, extensi�ns or renewals thereof, inc�uding Without Iimitation all Res�dent�al Agreements. (h} "Pro�ider Agreements" means any and all Medicaid, Medicare, TRI�AREICHAMPUS, ar ather governmental insurance provider agreements. (i� "Rents" sha11 m�an a�I rents, payments, and other benefits derived due ta �p�ratar pursuant to the Le ase s. �j} "R�qu�red Inter�reditor Agreement" means an Intercr�ditor Agreement e�ecut�d by the Secured Party, the Eligib�e AR Lender, �perator and Borr�wer, �n form and substance satisfactory ta SeGured Party and approved by HUI3. (k� "Residentia�Agreement�" shall mean any lease or�ther agreement now or hereafter entered into betvveen�perat�r and any resident of the Healthcare Facility setting forth the terms of the resident's living arrangement andl�r the provision of serv�ces to the residents thereof.
