BorroWer shall prov�de management of the M�rtgaged Pr�perty�n a mann�r <br /> cansistent With Pragram �bligations and acceptable to HUD. Borr�wer shall ta.ke such actions <br /> as sha11 cause the Praj ect to cnnf�rm to Program �bligations. <br /> 31. TERMINATI�N t]F ��NTRA�TS. E�cept as otherwise permitted by HUD, <br /> any contract pertain�ng to the Proj ect wxth a vendor hav�ng an id�ntity of interest with the <br /> BarroWer andlor�perator, as determined by HUD pursuant to Program �b�igatians, shal� <br /> pr�vide: �1} in the event of a defau�t under this Agreement, ar the �perat�r's Regu�atory <br /> Agreement, the contract sha�� be subj ect to termination with�ut pena�ty and Without cause upon <br /> written request by HUI], w�thin thirty �3�} days notice of such terminati�n; and�2} in the event <br /> that HUI] determine s that any of the P ermits and Approva�s are at sub stantia� and imminent ri sk <br /> of be�ng t�rminated, suspended or othervv�se restricted so as to have a material adverse effe�t�n <br /> the Proj ect, the contract shall be subj ect to termination immediately withnut pena�ty and without <br /> cause up�n wr�tten request by HUI]. Upon such request by HUL], Barrower sha�l immediately <br /> arrange to term�nate the contract, or cause �perator to terminate the contract, axad�B�rrower shal� <br /> also make arra.ngements, or cause �perator to make arrangements, satisfact�ry to HLJD for <br /> cont�nuing acceptable serv�ces t�the Proj�ct effective as of the term�nation date of the contract. <br /> 32. MANA�EMENT A�ENT. In the event that a management agent is or wi�l be <br /> the h�lder of the Healthcare Facility Iicense or is or w�11 be the payee und�r one or more third- <br /> party payar agreements w�th respect to the Healthcar� Facility, such management agent Will be <br /> treated as an �perator in accordance with Program �bligations. <br /> 33. ��MMERCIAL (N�N-RESIDENTIAL} LEASES. No partian af the Proj e�t <br /> shall be leased for any commercial purp�se or use withaut rece�v�ng HLJI7's prior written <br /> appravai as t� terms, form and amount, except for commercial ieases for support or ancillary <br /> services vvhich are sub�rdinate to the Borrower's Security Instrument, have terms of not more <br /> than five �5} years and otherwise comply with Pragram �bl�gations. Borrower shali deliver, or <br /> cause to be delivered, an executed copy �f any eommercial lease t� HUI] and L�nder within <br /> thirty (3�� days after�ts effective date. <br /> V.
