For the ��tents and <br /> purposes herein, BorroWer hereby irrevo�ab�y norn.ir�ates and appoints Lender and HUD, the�r <br /> respective successo�s a�d ass�gns, each in its awn ca�acity, as BorroWer's attarney-in-fact <br /> �oup�ed wit�an�nterest to da a�1 th�ngs t�at any such attorney-in-fact deems t� b�neces�ary ar <br /> appr�priate in order ta fac�litate the cantinued operation af the Healthcare Fac�lity and the <br /> Proj ect for the Ap�r�ved LJse, �ncluding but n�t��mited ta, the power and authority to �rovic�e <br /> any and aIl information and data,pay such fees as may be requir�d, and execute and sign�n the <br /> name �f Borrower, its suc�essors or ass�gns, any and a�� d�cuments, as may be required by any <br /> �avernmental Authority exercising jurisd�ction o�er the Project. <br /> (c� Borr�wer sha�� not alter, terminate or re�inquish or suffer or p�rmit the alteration, <br /> termination or relinquishment of any Permits and Apprava�s without the pri�r written appraval <br /> of HUD. In the event that any such alteration, termination�r relinquishment is prop�sed, u�on <br /> �earning of such propased alteration, terminatian or relinquishment, Borrower shall advise HUD <br /> and Lender pr�mptly. Borr�wer shall insert the fareg�ing requirements into any BorroWer- <br /> �perator Agreem�nt far the Proj ect. <br /> (d} Except as otherwise provided be�ovv ar in Pragram �b�igations, Borr�wer shal� <br /> electronically d�liver within two �2} Business Days after Borrower's re�eipt th�reof, to the <br /> assigned�IUD personnel and Lender copres of any and all notic�s, reports, sur�eys and other <br /> c�rresp�ndenc� �regardless �f form} r�ceived by B�rr�wer from any Governmental Authority <br /> that includes any statement, finding or asserti�n that�i} Borrovver, �perator, the Proj�ct or any <br /> �essee or management agent af the Proj e�t is or may b� in vio�ation of�ar default under} any of <br /> the Permits and Appro�als or any governmenta� requ�rements applicable thereto, (ii� any af the <br /> Permits and Approvals are to be term�n.ated, limited in any v�ay, or not renewed, ���i} any civi� <br /> mone�penalty relating to the Proj ect is being imp�sed wxth respect to the Hea�th�are Facility, or <br /> ��v} Borrower, �peratar, the Proj ect or any �essee or managem�nt agent af the Pr�j ect is subj ect <br /> to any governmental inv�st�gation or inquiry �nvolving fraud. BorroWer sha�l deliver to the <br /> assigned HZJD pers�r�el and Lender, simu�taneously with delivery thereof to any �overn�nental <br /> Authority, any and a11 responses g�ven by or on behalf�f Borrawer to any of the foregaing and <br /> sha�I pravide t� HUI� and Lender, promptly upan request, such�ther inf�rmation regarding any <br /> of the f�regoing as HUI7 �r Lender may request. Unless otherwise request�d b� HLTD, th� <br /> reporting requ�rement of this pr�vis�on shal� not encompass regulatars' communications relat�ng <br /> solely to Iicensed nursing faci��ty surveys where the most severe citation level is at the "G" level <br /> or its equivalent (pursuant to CM S State �perations Manuat, �hapter 7, as may her�aft�r be <br /> edited or updated, or any successor guidance} unless a citatinn at such Iev�� is either (�} <br /> unreso�ved from the tw� most recent cansecutive prior surveys, or (ii� is a rep�at vi�lat�on <br /> having the same citation number. M�reover, uni�ss otherw�se requested l�y HUD or Lender, the <br /> initial c�mmunication from the �perat�r pursuant to th�s paragraph shai� be a notice by email t� <br /> the Lender d�scrib�ng the conduct cited, the sc�pe and duration of remedy��es} imp�sed, and the <br /> time�ines far corrective act�ons.
