Whenever the �om�any shall pr�pose t� rede�m less th�.n all of �the �utstanding First M�rtgage Bond� of the 2.$�°fa Series on any Redemption I�ate, the Bon� Registrar, instead of sel�cting b� 1�t, shall sele�t the �erial numbers of the First Mortgage B�nds �f the �.8 0% �eries ta be red�emed (in wh�1e �r in part) by prorating, as nearly as may �e, the aggregate princi�al am�unt af the First Mortgage B�nds �f the �.5�°�� Series t� be redeemed am�ng the Halders �f th� First 1Vlortgage Bonds of the �.S��o Series acc�rdir�g ta the principal amaunt there�f r�gi�tered in th�ir r�sp�ctive 1�ame�. In any such pro rati�n, the B�nd I��gistrar sha11 make such adau�tment�, reallo�ations and eliminati�ns as it sha11 d�em proper t� �the en� that the principal am�unt �f the First M�rtgage Bond� af the �.��°�o Series �a prorat��. to any H�lder �f the First Mortgage Bands of the �.S�°�o Series shall be $1,�� or an inte�ral multiple �f�1 in ex��ss ther�of, b� increasing �r d�creasin� or eliminating the amount which w�uld be allacable t� any such Holder an the basis �f exact propartion by an am�unt not exceeding $1. The B�r�d Regi�trar in its discretian may det�rmir�e the particulax First M�rtgage ��nds of the �.5�°�o S�ries (if there are more than one� registered in the name �f any Ho1d�r �hi�h are to be redeemed, in �vhole �r in part. In �.n� �eterminati�n by �ro ra�ior� pursuant to this Secti�n, First M�rtgage B�r��is �f th� 2.8�°�� Seri�s regist�r�d in the naxne �� th� �ompany sha11 n�t be can�idered �utstanding and sha11 be exclude� in makin�t�� deternzir�atian of the First Mart�age Bands o�the 2.$�°�o Seri�s t� be redeemed. If�iven by mai1, the mailing of such n�tice sha11 be a canditian precedent t� redempti�n, pr�vided that an� notice which is mailed in the manner pra�ided ir� S��tion �.�4 of the �riginal Ir�denture sha11 �e c�nclusively pr�sumed t� hav� been duly gi�en �vhether ar not the H�lders recei�e such natic�, and failure t� gi�e such nati�� by mail, or a1�y d�f�ct in such noti�e, t� th� Hol�er of any such Bond �esignat�d ��r r�dempti�n in whole �r ir� ��rt s1�a11 nat affect th� �ali�ity �f�the redem�tion �f any ather su�h Bond.
