<br /> �ea�h or �nso[�ency. The dissolution o� Trust�r's �regardless of whethe� election to continue is made�, any
<br /> member withdraws firom the limited liabi�ity company, or any ather �ermination of Trustvr's existen�e as a going
<br /> business ar the death o� any m�mber, the insol�ency af Trust�r, the appoin�ment a� a recei�er for any part vfi
<br /> Trustor's pr�perty, any assignmen€ �or the bene�it of creditars, any type v� creditor wvr�ou�, or the
<br /> commencement of any proce�ding under any hankruptcy vr insal�ency laws by or aga€nst Trustor.
<br /> Credi#or or Forfeiture Proceedings. Cvmmencement of fore�[�sure or for�eiture proceedings, whe�her by judicial
<br /> proce�ding, se��-help, repassession or any other method, by any credi�ar of Trus�vr or by any go�ernmental a�enGy
<br /> against any property securing the Ind�btedness. This in��udes a garnishment o� any v� Trustvr's accvun�s,
<br /> in�lud�ng deposit a�counts, with Lender. However, this E�ent o# Defau�t shall not apply if there is a good faith
<br /> dispute by Trustvr as to the val�dity or reasonab[en�ss vf the c�aim which is �he basis af the credi�or or forfei�ure
<br /> proceeding and if Trus�kor gi�es Lender written nofiice Qf the creditor or forfei�ure proceeding and deposits with
<br /> Lender monies ar a surety bond fvr the credi�or or forfeiture proceeding, in an amount de�erm�ned by Lender, in its
<br /> sale discretion, as being an adequa�e reser�e or b�nd�or�he dispute.
<br /> Breach of�ther Agreement. Any brea�h �y Trustor under�he terms af any ather agreemsnt betwe�n Trustor and
<br /> Lender �hat is not rem�died with�n any grace period p�a�ided therein, �ncluding withaut limitat�on any agreement
<br /> cance�ning any �ndebtedness ar vther obfigativn of Trustor�a Lender, whethe�existing naw or later.
<br /> E�ents Affecting Guaran�vr. Any of the preceding e�en�s occurs with respect to any Guarantor of any of the
<br /> �ndebtedness or any Guaran�or dies or #�ec�mes incompe�ent, or re�okes ar disputes th� �alidity of, �r liability
<br /> under, any Guaran�y of the �ndebtedness.
<br /> Ad�erse Chan�e. A material ad�erse change occurs in Trustor's financial condition, or Lender belie�es the
<br /> prvspect of payment ar performance of�he Indeb�edness is impa�red.
<br /> Insecurity. Lender in good faith helie�es itself insecu�e.
<br /> Right�v Cure. If any d�fault, other than a default in payment, is curable and if Trustor has nat been gi��n a notice
<br /> of a breach a�the same pro�ision ofi�his Deed of Trust wi�hin the prec�din�twel�e �1�} mon�hs, it may be cured if
<br /> Trustor, af�er Lender sends written notice ta Trust�r demanding �ure of such default: �1} cures the defau�x within
<br /> twenty 42�� days; or ��} if the cure requires more than twenty ��0� days, immedia�ely Enitiates steps which
<br /> Lender deems in Lender's so�e discret�on �o b� suffi�ient ta cure the default and �hereafte� continues and
<br /> completes ali reasonable and necessary steps sufficien��❑ produ�e compfian�e as soon as reasonably practical.
<br /> RIGHTS AND RENtEDIES �N DEFAULT. If an E�ent of ❑efault oc�urs under this De�d of Trust, at any time thereaft�r,
<br /> Trustee or Lender may exercise any one or more�f the fiallow�ng righ�s and �emedies:
<br /> Ac�eleration Upon Defaul�; Addi�ional Remedies. I�any E�ent o� Default accurs as per the terms of the Nate
<br /> secured hereby, Lender may declare al� Indeb�edness secured �y this Deed ❑f Trust t❑ be due and payab�� and
<br /> the same shall thereupvn t��come due and payable without any presentment, demand, prvtest vr notic�o�any
<br /> kind. Thereaf�er, Lender may:
<br /> �a� Ei�her in person or by agent, wi�h ar without bringing any action or proceeding, or by a re�ei��r
<br /> appoin�ed by a court and without regard t❑ the adequacy af its security, �nter up�n and �ake possession
<br /> of the Property, or any part�hereof, in its own name or in the name vf Trustee, �nd do any acts which it
<br /> d�ems necessary or desirab�e�o preser�e the�alue, marketak�ility�r rentability of th� Property, or part of
<br /> �he Praperty ar int�rest in th� Property; increase the inGome frvm the Property or protect the security o�
<br /> th� Property; and, with or withvut taking possession o� the Property, sue �or vr vtherwise collect the
<br /> r�nts, issues and prafi�s v�the Property, including those past due and unpaid, and apply the same, fess
<br /> costs and expenses of vperat�on and �ol�e��ion attorneys' fees, ta any �nd�btedness secured by this �3e�d
<br /> of Trust, ali in such order as Lender may deterrnine. The entering upon and taking possession ot the
<br /> Property, the co��ection o� such rents, issues and profits, and the application �hereof shall not cure or
<br /> wai�e any default ar notice o#default under this Deed af Trust or in�a�idate any act dvne in respons� �o
<br /> such defaul�vr pursuant to su�h nvti�e of defau�t; and, notwithstanding the�vntinuance in possessivn af
<br /> the P�operty or the callect�an, �eceipt and app€�cation ❑f rents, �ssues or prvf�ts, Trus�ee vr Lende� shall
<br /> be �nt€tled tv exercise e�ery right pra�ided for in the Note or the Related ❑o�um�nts vr by law upon the
<br /> occurr�nce of any e�ent of defau(t, including the righ�tv�xer�ise�he power ofi sa�e,
<br /> {b� Cammence an action�o �ore�lose this Deed of Trust as a mortgage, appoint a recei�er or specificaily
<br /> �nfor�e any af the co�enants hereof; and
<br /> �c} Del��er�o Trustee a written declara�ivn ofi defaul�and demand far sale and a writ�en not�ce af de�auit
<br /> and election t� cause Trustor's interest in the Proper�y�o be sold, wh�ch notiGe Trus�ee shali cause to be
<br /> duly�i�ed for record in the apprapriate offi�es o�the County in which the Prope�ty is lo�ated; and
<br /> {dy V11ith r�spect�o al[ or any part af the Personal Property, �ender shall ha�e alf the rights and remed��s
<br /> of a secured par�y under the Ne��aska Uniform Commercial Code.
<br /> Fvreclosure by Power of 5ale. If Lender elects to #or��lvse by exercise o��he Pawer a#Sa�e herein contained,
<br /> Lender shall notify Trustee and sha�� deposi� with Trus�ee this Deed of Trus� and the Nvte and such receipts
<br /> and e�idence of expenditures made and secured �y this De�d of Trust as Trus�ee may require.

<br /> t❑ Trustor su�h Notice of Defauft and Notice o� Sale as then requ�red by law and by this ❑eed vf Trus�.

<br /> the Property at the �ime and p�ace of sale fixed by it in such Notice af 5a1�, ei�her as a who�e, or in
<br /> separate lots or parcels or items as Trustee shall d�em expedient, and �n such o�der as it may determine,
<br /> at pu�lic auction fio th� highesfi bidder�ar cash in �aw�u� money ❑f the United 5ta�es payable a�the time
<br /> �of sale. Trustee sha[I deli�er to such purc�aser or purchasers thereof its goad and sufficient deed or
