<br />WHEREAS, Mader desires to obtain, and Shriner is willing to grant to Mader, and
<br />Mader's heirs, successors, and assigns, a perpetual non - exclusive easement for the purpose of
<br />utilizing an existing private drive to afford access to Mader's Real Estate;
<br />WHEREAS, Mader desires to continue uninterrupted operation of a center pivot
<br />irrigation system located upon Mader's Real Estate that encroaches upon a portion of Shriner's
<br />Real Estate; and
<br />WHEREAS, Mader desires to obtain a right of first refusal to purchase Shriner's Real
<br />Estate in the event it shall be offered for sale by Shriner at some future date, subject to the
<br />condition that all obligations required herein are performed by Mader and Mader's heirs, succes-
<br />sors, and assigns,
<br />agreed:
<br />NOW, THEREFORE, in consideration of the mutual covenants herein contained, it is
<br />1. Conveyance of Access and Encroachment Easement. For and in consideration of One
<br />Dollar ($1.00) and other good and valuable consideration, Shriner hereby grants and conveys
<br />unto Mader, and Mader's heirs, successors, and assigns, a non - exclusive easement in respect to
<br />the entirety of the existing private drive for ingress and egress over, through, and upon Shriner's
<br />Real Estate and also grants and conveys an easement for the purpose of permitting a center pivot
<br />irrigation system located upon Mader's Real Estate to encroach over and upon Shriner's Real
<br />Estate while continuing to dispense irrigation waters, including the right to maintain and replace
<br />such center pivot system so long as its encroachment shall not in any manner be increased. For
<br />purposes of these easements, Shriner's Real Estate shall be deemed the "Servient Estate ".
