<br />UNILATERAL SUBORDINATION OF DEED OF TRUST

<br />WHERAS, Terry L. Stamm and Melissa R Stamm, husband and wife (hereinafter referred to as
<br />"Stamm "), by their Deed of Trust dated June 29, 1999, which was filed on July 2, 1999 and recorded in
<br />Volume 99- 106692 in the office of the Register of Deeds of Hall County, Nebraska, did convey unto
<br />Associates Financial Services Company Inc., as Beneficiary and Jerry J. Milner, as Trustee, certain
<br />premises in Hall County, Nebraska, described as follows;
<br />Lot Five (5), Block Three (3) Dale Roush Second (2 "d) Subdivision, City of Grand Island, Hall County,
<br />Nebraska
<br />To secure it Note for $5614.97 with interest payable as provided therein, and
<br />WHEREAS, Associates Financial Services Company, Inc. desires to lend money to Stamm and to
<br />secure the loan, requires a Deed of Trust, Associates Deed of Trust, on the real estate described above
<br />superior in priority to Associates Financial Services Company, Inc Deed of Trust, and;
<br />WHEREAS, Associates Financial Services, Company Inc. is agreeable to the subordination of its Deed
<br />of trust, under the terms described herein; and
<br />WHEREAS, the Note secured by Associates Financial Services Company, Inc., Deed of Trust first
<br />described is held by Associates Financial Services Company, Inc. as sole owner and that as agent for
<br />collection, pledge or in trust for any person, firm or corporation.
<br />NOW, THEREFORE in consideration of the premises and other good and valuable consideration, the
<br />receipt of which is hereby acknowledged, the said Associates Financial Services Company Inc.,
<br />Beneficiary of Associates Financial Services, Inc. Deed of Trust hereby covenant and agree with
<br />Associates Financial Services Company Inc. for the use and benefit of the legal holders of the Notes
<br />secured by Associates Deed of Trust, that the lien of Associates Financial Services Company Inc. Deed of
<br />Trust should be junior, subject and subordinate to the lien of Associates Deed of Trust on the real estate
<br />described above.
