LETTER OF INTENT 200102877 WHEREAS, Bosselman, Inc. (hereinafter referred to as "Bosselman ") and Thomas B. Swedlund and William G. Pauley, Jr. doing business as Econo -O -Lux Inn (hereinafter referred to as "Econ- O- Lux).have entered into a Waster Water Easement dated July, 1988; WHEREAS, Econo -O -Lux now feels that it is more advantageous to construct and maintain a sewage treatment plant on the present site of a sewage treat- ment plant located on Bosselman's real estate. WHEREAS, there would be certain.advantages to Bosselman if an updated sewage treatment plant was constructed on Bosselman's real estate. NOW, THEREFORE, BE IT RESOLVED BETWEEN THE PARTIES: 1. That the parties will enter into an agreement whereby the following terms will be incorporated: (a) That Econ -O -Lux shall construct and maintain a sewage treatment plant on the present site of an existing sewage plant located on Bosselman's real estate. (b) That the easement now in existence between the parties will still have the same force and effect to allow Econ -O -Lux to discharge its waste water through the pipeline to the new sewage plant to be built on Bosselman's real estate. (c) Econ -O -Lux shall have a ninety -nine (99) year lease on the real estate on which the proposed plant will be located. w (d) That Bosselman at no cost shall have the right to tie into the plant for any business that he operates on said real estate which the present plant served. Except if Bosselman by tieing in should increase the capacity to the extent that modification to the plant would be necessary, then said modification would be paid by Bosselman. (e) Bosselman agreeg to pay operational cost and maintenancenon a usage basis. (f) The parties mutually agree that if Econ -O -Lux builds the proposed sewage treatment plant on Bosselman's real estate, then the payment of $100.00 monthly payment is waived by Bosselman.
