LETTER OF INTENT <br />200102877 <br />WHEREAS, Bosselman, Inc. (hereinafter referred to as "Bosselman ") and <br />Thomas B. Swedlund and William G. Pauley, Jr. doing business as Econo -O -Lux <br />Inn (hereinafter referred to as "Econ- O- Lux).have entered into a Waster Water <br />Easement dated July, 1988; <br />WHEREAS, Econo -O -Lux now feels that it is more advantageous to construct <br />and maintain a sewage treatment plant on the present site of a sewage treat- <br />ment plant located on Bosselman's real estate. <br />WHEREAS, there would be certain.advantages to Bosselman if an updated <br />sewage treatment plant was constructed on Bosselman's real estate. <br />NOW, THEREFORE, BE IT RESOLVED BETWEEN THE PARTIES: <br />1. That the parties will enter into an agreement whereby the following <br />terms will be incorporated: <br />(a) That Econ -O -Lux shall construct and maintain a sewage treatment <br />plant on the present site of an existing sewage plant located on <br />Bosselman's real estate. <br />(b) That the easement now in existence between the parties will still <br />have the same force and effect to allow Econ -O -Lux to discharge <br />its waste water through the pipeline to the new sewage plant to <br />be built on Bosselman's real estate. <br />(c) Econ -O -Lux shall have a ninety -nine (99) year lease on the real <br />estate on which the proposed plant will be located. <br />w <br />(d) That Bosselman at no cost shall have the right to tie into the <br />plant for any business that he operates on said real estate which <br />the present plant served. Except if Bosselman by tieing in <br />should increase the capacity to the extent that modification to <br />the plant would be necessary, then said modification would be <br />paid by Bosselman. <br />(e) Bosselman agreeg to pay operational cost and maintenancenon a <br />usage basis. <br />(f) The parties mutually agree that if Econ -O -Lux builds the proposed <br />sewage treatment plant on Bosselman's real estate, then the <br />payment of $100.00 monthly payment is waived by Bosselman. <br />
