2® 16O23O '. <br /> shall be construed, governed and interpreted in accordance with the laws of the State of <br /> Nebraska. If any Party undertakes legal action to enforce any right or remedy under this <br /> Agreement, the prevailing Party shall be entitled to recover any reasonable costs and expenses in <br /> connection with such legal action, including,but not limited to, court costs and attorneys' fees. <br /> (b) Time is of the essence with respect to this Agreement. <br /> (c) None of the terms or provisions of this Agreement shall be deemed to <br /> create a partnership between or among the Parties in their respective businesses or <br /> otherwise, nor shall it cause them to be considered joint venturers or members of any <br /> joint enterprise. Each Party shall be considered a separate owner, and no Party shall <br /> have the right to act as an agent for another Party, unless expressly authorized to do so <br /> in this Agreement. <br /> (d) All exhibits referred to in this Agreement are attached hereto and <br /> incorporated herein by reference. <br /> (e) With respect to any Notices required to be given under the terms of this ' <br /> Agreement, such Notices shall be deemed given and effective (i)three calendar days <br /> after the date they are deposited in the United States mail, postage prepaid,. return <br /> receipt requested, addressed to the Parties at the following respective addresses; or <br /> (ii)the date of actual delivery by recognized national overnight delivery service such as <br /> Federal Express, UPS or Express .Mail, addressed to the Parties:at the following <br /> respective addresses; or (c)the date of actual physical delivery of Notice to a Party <br /> addressed to the Parties at the following respective addresses: <br />
