200003380 <br />FYnihit "R" <br />Description of Improvements and Certain Personal Property <br />All buildings, improvements, fixtures, goods which are to become fixtures, machinery, <br />equipment and all appurtenances thereto and any substitutions, replacements, renewals, <br />accessions and additions therefor or thereto, now or hereafter placed on or used in <br />connection with the Mortgaged Property or any part or parcel thereof, including without <br />limitation any and all machinery and equipment (other than rolling stock) necessary or <br />useful in connection with the operation of a refrigerated warehouse facility, such as <br />chillers, compressors, evaporators and racks and any and all related piping and <br />mechanical equipment, and building materials and supplies delivered to the Mortgaged <br />Property and intended to be installed or used therein or thereon; that portion of the <br />properties, accounts, chattel paper, general intangibles and documents of Mortgagor <br />which is evidenced by, arises from or is either directly or indirectly attributable to any <br />leases of or to the leasing of the Mortgaged Property or any part or parcel thereof or any <br />buildings or improvements or equipment thereon, including any and all rents, issues, <br />profits, damages, royalties, revenues and benefits with respect to all such leases or <br />leasing of the Mortgaged Property or any buildings or improvements or equipment <br />thereon; all of Mortgagor's right, title and interest in and to all claims for damage to and <br />condemnation proceeds and insurance proceeds with respect to the Mortgaged Property <br />and any and all buildings, improvements, fixtures, goods which are to become fixtures, <br />machinery and equipment thereon; and all right, title and interest in and to any and all <br />insurance policies or payments of premium therefor with respect to the Mortgaged <br />Property or any buildings, improvements, fixtures, goods which are to become fixtures, <br />machinery, equipment or other personal property located thereon or used in connection <br />therewith; all general intangibles necessary or essential to the ownership, operation <br />management and use of the Mortgaged Property or any part or parcel thereof or any <br />buildings or improvements or equipment thereon; all deposits made with or other security <br />given by Mortgagor to utility companies with respect to the Mortgaged Property or <br />buildings or improvements thereon; all leasing, service, engineering, consulting, <br />construction, purchase and other contracts of any nature necessary for or essential to the <br />ownership, operation, management or use of the Mortgaged Property or the buildings or <br />improvements thereon, as such may be modified, amended or supplemented from time to <br />time; all payment and performance bonds or guarantees and any and all modifications and <br />extensions thereof relating to the Mortgaged Property or the buildings or improvements <br />thereon; all reserves, deferred payments, deposits, rebates, refunds, cost savings and <br />payments of any kind necessary for or essential to the ownership, operation, <br />management, occupancy, use or disposition of any portion of or all of the Mortgaged <br />Property or the buildings or improvements thereon. Secured party, however, expressly <br />acknowledges that all of Mortgagor's rolling stock (including forklifts) are excluded from the <br />security interest herein described. <br />EXHIBIT "B" <br />
