200003.380 E. Compliance with Applicable Governmental Requirements. Section 2.5 General Land Use Requirements. Mortgagor shall not commit, permit or allow to exist any violation of any law, ordinance, rule, regulation or order of any governmental authority having jurisdiction over the Collateral and use of the Collateral or of any matter of record affecting the Collateral. Section 2.6 Compliance with Environmental Protection. Conservation and Hazardous Waste Requirements. Mortgagor shall observe, perform and comply with all of the covenants, agreements, representations and warranties contained in Section 12.13 of the 2000 Note Purchase Agreement, which are incorporated into this Section 2.6 by reference as if fully set forth herein. F. Disposal of the Collateral. Section 2.7 Mortgagor covenants and agrees that, except as permitted in Sections 12.8(b) and 24 of the 2000 Note Purchase Agreement, should Mortgagor sell or agree to sell, convey or agree to convey, lease or agree to lease the Collateral or any part thereof, transfer or dispose of or agree to transfer or dispose of the Collateral or any part thereof, in any way, without the written consent of Mortgagee being first obtained, or if any of the foregoing be accomplished by operation of law, then Mortgagee shall have the right, at its option, to declare all sums secured by this Mortgage immediately due and payable, provided, however, that this Section 2.7 shall not require the consent of Mortgagee to the following: (a) Leases or licenses or other contracts for the use of refrigerated and related warehouse space made by Mortgagor in the ordinary course of its business having a term not in excess of one year. (b) Any lease of or with respect to the Collateral having a term of more than one year. Said leases, licenses or other contracts as described in (a) and (b) above of this Section 2.7 are hereinafter referred to as the "Permitted Leases." G. Further Assurances. Section 2.8 Mortgagor shall, whenever requested by Mortgagee, at the cost and expense of Mortgagor, do or cause to be done anything, including without limitation, the execution of any document or agreement (including any Uniform Commercial Code Financing Statements) for more satisfactorily assuring or securing to the Mortgagee the Collateral or the priority in respect thereof in a manner not inconsistent with any of the provisions of this Mortgage or for aiding in the execution or exercise of any power or remedy 2000 MORTGAGE (Grand Island, Nebraska) 10
