200003.380 <br />E. Compliance with Applicable Governmental Requirements. <br />Section 2.5 General Land Use Requirements. Mortgagor shall not commit, permit or <br />allow to exist any violation of any law, ordinance, rule, regulation or order of <br />any governmental authority having jurisdiction over the Collateral and use of <br />the Collateral or of any matter of record affecting the Collateral. <br />Section 2.6 Compliance with Environmental Protection. Conservation and Hazardous <br />Waste Requirements. Mortgagor shall observe, perform and comply with all <br />of the covenants, agreements, representations and warranties contained in <br />Section 12.13 of the 2000 Note Purchase Agreement, which are <br />incorporated into this Section 2.6 by reference as if fully set forth herein. <br />F. Disposal of the Collateral. <br />Section 2.7 Mortgagor covenants and agrees that, except as permitted in Sections <br />12.8(b) and 24 of the 2000 Note Purchase Agreement, should Mortgagor <br />sell or agree to sell, convey or agree to convey, lease or agree to lease the <br />Collateral or any part thereof, transfer or dispose of or agree to transfer or <br />dispose of the Collateral or any part thereof, in any way, without the written <br />consent of Mortgagee being first obtained, or if any of the foregoing be <br />accomplished by operation of law, then Mortgagee shall have the right, at its <br />option, to declare all sums secured by this Mortgage immediately due and <br />payable, provided, however, that this Section 2.7 shall not require the <br />consent of Mortgagee to the following: <br />(a) Leases or licenses or other contracts for the use of refrigerated and <br />related warehouse space made by Mortgagor in the ordinary course <br />of its business having a term not in excess of one year. <br />(b) Any lease of or with respect to the Collateral having a term of more <br />than one year. <br />Said leases, licenses or other contracts as described in (a) and (b) above of <br />this Section 2.7 are hereinafter referred to as the "Permitted Leases." <br />G. Further Assurances. <br />Section 2.8 Mortgagor shall, whenever requested by Mortgagee, at the cost and <br />expense of Mortgagor, do or cause to be done anything, including without <br />limitation, the execution of any document or agreement (including any <br />Uniform Commercial Code Financing Statements) for more satisfactorily <br />assuring or securing to the Mortgagee the Collateral or the priority in respect <br />thereof in a manner not inconsistent with any of the provisions of this <br />Mortgage or for aiding in the execution or exercise of any power or remedy <br />2000 MORTGAGE <br />(Grand Island, Nebraska) <br />10 <br />
